탄소배출권거래제 도입에 따른 녹색금융 활성화 방안에 관한 연구 - 자본시장법을 중심으로 -

오늘날 심각한 문제로 인식되는 지구온난화현상은 CO2와 같은 온실가스의 증가로 말미암아 대기 온도가 상승하는 온실효과에 의한 것이다. 이러한 기후변화는 궁극적으로 기상이변․해수면 상승 등을 초래하여 해안지역 침수와 생태계 및 산림의 훼손․전염병 등 인간 생존을 위협하는 수준에 이르고 있다. 이에 주요 선진국들은 UNFCCC(United Nations Framework Convention on Climate Change) 등 다자간 협의과정을 통하여 법규로 구체화하거나 친환경적이면서 산업발전을 동시에 추진하는 정책과 법제를 형성하여 시행하고 있다. 또한 지난 2008년부터 교토의정서에 따른 1차 온실가스 감축의무 이행기간이 시작됨에 따라 국제 온실가스 배출권 거래제도 본격적인 시행단계에 접어들었다. 이처럼 범지구적인 온실가스 감축목표의 강화와 국제 온실가스 배출권 거래제도가 지속적으로 확대된다고 볼 때, 이에 대한 법제적 파급효과를 분석하고 합리적인 대응책을 마련하는 것은 매우 중요한 과제라 할 수 있다. 또한 이에 대응하고자 우리 정부는 최근에 「온실가스 배출권의 할당 및 거래에 관한 법률」을 제정하여 기존에 논의되지 않았던 탄소배출권이라는 새로운 개념을 현행 법체계로 도입하기에 이르렀다. 향후 2015년부터 시행될 배출권거래제도는 과거에는 우리나라에 존재하지 않았던 생소한 제도로 헌법, 행정법, 조세법, 국제법 등 공법 분야와 민법, 상법, 국제사법, 자본시장법 등의 사법 분야에 광범위하게 적용되는 것으로 이에 대한 다각도적인 연구가 시급하다고 볼 수 있다. 배출권거래제를 통한 배출권시장이 효율적으로 형성되고 활성화되기 위해서는 배출권 거래에 관한 제도 및 인프라 구축 외에 자본시장법상 그 해석과 적용에 대한 세심한 연구도 반드시 선행되어야 한다. 배출권거래제 및 배출권시장에 대한 구체적이고 정확한 이해가 선행되지 않는 한 자본시장법상의 쟁점과 이에 대한 해결책을 찾아내기는 어렵기 때문이다. 따라서 본 논문에서는 논의의 전제가 되는 배출권의 개념과 배출권의 법적 성격에 대한 충분한 검토 및 정리를 통하여 배출권의 자본시장법상 금융투자상품 해당성 여부를 파악하기 위하여 각국의 입법례를 구체적으로 살펴보고자 한다. 특히 배출권은 개념상 그 자체를 금융투자상품으로 보기 어려운 점이 있으나, 이를 기초자산으로 활용한 파생결합증권이나 파생상품으로의 적용여부는 녹색금융의 새로운 패러다임으로 어느 정도 우리 금융시장의 활성화를 도모할 수 있다고 생각한다. 아울러 향후 녹색금융의 활성화를 위하여 자본시장법상 배출권에 대한 금융업무의 범위, 집합투자 및 신탁대상 자산의 해당 여부 등에 대하여 개선방안을 제시하였다.
Abstract
Global warming, which is caused by more greenhouse gases such as CO2 and the greenhouse effects warming of the earth’s surface, is one of the most serious problems nowadays. Climate change by this global warming has induced conditions such as unusual weather phenomena and the rise of sea levels, which have incurred the flooding of the coastal areas and the destroying of the ecosystem and treating not only to the well-being, but also to survival of mankind. Highly developed countries have specified regulations to respond to climate change through the multilateral discussions and their participation in the United Nations Framework Convention on Climate Change(UNFCCC) and have actively established laws and policies that ensure the environmental-friendly economic growth. Furthermore, considering the emissions reduction plan is enforcing and intensifying in full-scale with the legally binding targets set as 2008 by the Kyoto Protocol and the emissions trading scheme is extended, it is very urgent and important obligation to find out the analysis and response with reflection on legal effects. Korean government has recently enacted the new regulation 「Act on Allocation and Trading of Greenhouse-Gas Emissions Allowances」, which has a number of issues to be related with public laws such as 「Constitutional Law」, 「Administrative Law」 and 「Tax Law」 as well as private laws such as 「Civil Law」, 「Commercial Law」, 「International Private Law」 and 「Capital Market and Financial Investment Business Act」. Accordingly, it definitely needs to study on the new concept ‘Emissions Allowances’ as well as system for emissions trading and infrastructure based on our current regulations. Accordingly, this article has dealt with study on emissions trading schemes of EU and other developed countries to clarify on whether emissions allowances could be qualified as the financial investment instrument or the underlying asset of a derivatives product or derivatives-linked securities, which is supposed to promote the activation of our financial market as a new path. Additionally, it has discussed and suggested some issues and comments regarding the scope of financial services and the qualification for a trust asset or collective investment asset in connection with the emissions allowances under 「Act on Allocation and Trading of Greenhouse-Gas Emissions Allowances」.
