2009년 호주의 한 단체가 아시아 펀드 패스포트에 관한 보고서를 발간하였다. 이를 계기로 아시아ᐨ태평양 지역에서 펀드 패스포트 도입에 관한 논의가 시작되었다. 2011년 11월의 APEC 재무장관 회의 결과 채택한 공동선언문에는 아시아 펀드 패스포트를 창설한다는 내용을 포함하고 있었다. 또한 2012년 8월의 제19차 APEC 재무장관 회의 결과 채택한 공동선언문은 아시아 펀드 패스포트에 관한 구체적인 모델을 개발하기로 하였다. 이 글은 EU의 펀드 패스포트를 규제하는 UCITS 지침의 규제 내용과 그 법적 시사점을 고찰하고, 아시아 펀드 패스포트의 실현 가능성을 검토하기 위한 것이다. 따라서 그 내용으로 첫째, EU에서의 펀드 패스포트의 개념과 발전과정을 살펴보았다. UCITS I 지침부터 UCITS Ⅳ 지침까지의 변화과정의 고찰이 아시아 펀드 패스포트 도입에 참고가 될 수 있기 때문이다. 둘째, EU의 UCITS 지침상 펀드 패스포트에 관한 구체적인 규정과 동향을 살펴보고, 펀드 패스포트로부터 시작해서 운용회사 패스포트가 등장하기까지의 주요 내용을 고찰하였다. 셋째, 아시아 펀드 패스포트 도입 가능성을 살펴보았다. 이 부분에서는 현재까지의 아시아 지역에서의 논의과정, 아시아 펀드 패스포트를 도입하는 경우의 장점과 문제점, 그리고 해결과제를 설명하였다. 해결과제 부분에서는 통화문제, 조세문제, 법규문제 등을 설명하였다. 마지막으로 아시아 펀드 패스포트를 도입하는 경우 우리나라 자본시장과 금융투자업에 관한 법률의 관련규정을 개정해야 되는지 여부를 고찰하였다.
Abstract
November 2009, After Australia as Financial Center published the Report about Asia-Pacific Fund Passport, the discussion of passport introduction began. November 2011, Finance ministers of the Asia Pacific Economic Co-Operation (APEC) member economies announced their support of the establishment of a pilot Asia Region Fund Passport structure. And, in 2012 APEC Finance Ministerial Meeting, the finance ministers of the APEC economies noted the technical work that is underway to gradually progress the development of an Asia Region Fund Passport In this article, I studied the UCITS Directive and some legal implications about EU fund passport to review the success possibility of Asia Fund Passport. Therefore, as the contents, First, I studied the concept of fund passport and process of success. Because the study of EU’ success will present the lessons to the introduction of Asia Fund Passport. Second, I studied the main article of UCITS Directive and Trend of amendment including fund passport and management company passport. Third, I studied the possibility of introduction about Asia Region Fund Passport. In this part, I studied the discussion history in Asia, the benefits and obstacles, and the solutions. Especially I explained the common currency, tax, and legal issues etc. Fourth, I studied the article about the fund of Capital Market and Financial Investment Business Act to amend the Act.
