우회상장 기업의 생존결정 요인에 대한 연구

본 연구는 유명무실화 되어가고 있는 우회상장제도에 대한 개선안 제시를 통해 정상화 방안을 모색하고자 하였다. 즉 지난 2011년 도입 이후 실질적으로 우회상장을 불가능하게 만든 질적심사제와 관련, 보다 구체적이고 명확한 심사기준을 제시하고자 하였다. 이를 위해 본 연구에서는 우회상장 기업의 생존결정요인을 도출해 상장적격성 기준선정시 활용 가능성을 제안한다. 우회상장이 본격화된 2003년 이후 코스닥에 우회상장된 108개 기업을 대상으로 로짓분석, stepwise 회귀분석, hazard 모형, altman 모형 등을 활용해 결합형태, 우회상장 추진기업과 대상기업및 결합 후 상장기업의 재무특성을 분석하였다. 연구 결과 우회상장 대상기업의 매출액과 추진기업 및 결합 후 기업의 부채비율이 우회상장 기업의 존속에 영향을 미치는 것으로 밝혀졌다. 또한 우회상장 추진기업의 신용평점과 매출액 증가율도 생존요인의 역할을 하는 것으로 조사됐다. 즉 우회상장 대상기업의 매출액이 클수록, 추진기업의 부채비율이 낮을수록 또한 신용평점과 매출액 증가율이 높을수록, 결합 후 기업의 부채비율이 낮을수록 우회상장 기업의 생존가능성은 높은 것으로 드러났다. 이는 건전성과 성장성을 보유한 비상장기업이 우회상장을 통해 자본조달 창구를 마련한다는 우회상장제도의 근본취지와 일치하는 것으로 시사하는 바가 크다고 할 수 있다.
Abstract
This study examines survival determinants in reverse takeovers. By using logit regression, stepwise regression, hazard model, and altman model, this paper analyzes the characteristics of takeover transactions, the financial characteristics of privately held acquiring firms and of publicly traded target firms, and the first year financial ratio of listed firms through reverse takeover. We find that survival of reverse takeover is affected by sales of target firms, by debt ratio, credit score and sales increasing ratio of acquiring firms, and by debt ratio of post merger listed firms. Namely, it is observed that the survival possibility of reverse takeover becomes higher as the sales of target firms increases, the debt ratio of acquiring firms falls, and the credit score and sales increasing ratio of acquiring firms rise, and the debt ratio of post merger listed firms drops. The result comes into line with primary purpose of introduction on reverse takeover, and suggests the result be applied to its qualification examination in reverse takeover.
