조합의 당사자능력과 소송의 형태

초록

우리 민법은 사람 중 개인과 사단법인에 대하여만 권리·의무의 주체가 될 수 있는 권리능력을 인정하고(제3조, 제34조) 사람의 단체라고 하더라도 법인 아닌 사단이나 조합에 대하여는 권리능력을 인정하지 않고 있다. 그러면서 법인이 아닌 사단의 사원이 집합체로서 물건을 소유하는 때에는 총유로(제275조), 수인이 조합체로서 물건을 소유하는 때에는 이를 합유로(제271조) 규정함으로써 실체법상 법인이 아닌 사단과 조합을 구별하여 취급하고 있다. 이에 따라 실체법상 법인 아닌 사단과 조합의재산관계에 있어서는 다음과 같은 차이가 있다. 즉, 전자에 있어서는 재산이 사단이라는 집합체에 총유적으로 귀속되는 관계로 그 구성원은 사단의 적극재산에 대한 지분이 없는 반면, 사단의 채무에 대한책임도 없다. 이에 비하여, 후자에 있어서는 재산이 조합원에게 합유적으로 귀속되므로 조합원은 조합재산에 대하여 잠재적이나마 지분을 가지는 반면 조합채무에 대하여도 조합원들의 합유인 조합재산으로 공동책임을 짐과 동시에 그 지분에 따른 분할적 채무에 대하여 개인재산으로 무한책임을 진다(민법제712조). 한편 절차법상으로는 법인 아닌 사람의 단체 중 법인 아닌 사단에 대하여만 당사자능력(민사소송법 제52조)과 등기능력(부동산등기법 제26조)이 인정됨으로써 법인 아닌 사단은 그 소송과 집행에있어서는 사단법인과 마찬가지로 취급된다. 비영리 사단법인과 법인 아닌 사단은 관청의 허가(민법 제32조) 여부에 있어서만 차이가 있을 뿐 그 실체에 있어서는 차이가 없는 점을 고려하면 이러한 취급은당연하다. 그렇지만 조합의 경우에는 문제가 복잡하다. 먼저 조합에 당사자능력을 인정할 것인가 하는문제가 있다. 조합에 당사자능력을 인정할 경우 절차법적으로는 조합을 법인 아닌 사단으로 취급하는결과가 되어 조합의 실체법상의 재산관계와는 괴리가 생긴다. 따라서 조합에 관한 소송은 조합원 전원이 소를 제기하거나 소를 제기당할 수밖에 없다. 그런데 조합원이 많고 증감변동이 있을 경우 이러한소송은 번잡하게 된다. 이러한 소송상의 번잡을 피하기 위한 방법으로 조합에 당사자능력을 인정하여야 한다고 주장하기도 하나, 이로써 모든 문제가 해결되는 것은 아니다. 조합에 당사자능력이 인정되지않을 경우의 소송상의 번잡을 피하기 위해서는 선정당사자제도를 이용하거나, 조합원이나 업무집행자로 하여금 조합원 전원을 대리하여 소송을 수행하게 할 수도 있다. 그러나 전자의 제도는 수동소송에서는 이를 이용할 수 없는 한계가 있고, 후자의 방법은 제한된 범위의 사건에 한하여 인정될 수 있는것이어서 별 실익이 없다. 따라서 업무집행자가 있는 조합의 경우에는 그가 조합원 전원으로부터 소송신탁을 받아 임의적 소송담당자로서 소송을 수행하는 것이 소송의 번잡을 피하는 효과적인 방법이 될수 있다.

Abstract

The Korean Civil Act only grants individuals and incorporated associations, among persons, the legal ability to be holders of rights and obligations (Articles 3 & 34) and excludes unincorporated associations or partnerships, although groups of persons, there from. Also the Act differentiates between unincorporated associations and partnerships in terms of substantive law by treating unincorporated association members’ ownership (as a group) of property as collective ownership (Article 275) and people’s ownership (as partnership) of property as partners’ ownership (Article 271). Thus in terms of substantive law, unincorporated associations and partnerships have the following differences in property relationship. That is, in the former, a property collectively belongs to the association (a group) so its members neither have shares in the association’s active property nor liabilities for the association’s debts. In the latter, in contrast, since a property belongs to the partners as partnership, partners have shares, though potential, in the partnership property and are jointly liable with partnership property for the partnership debts (partners’ ownership). Also each partner is wholly liable with his/her own property for his/her share of the partnership debts (Article 712 of Civil Act). Meanwhile in terms of procedural law, among unincorporated groups of people, only unincorporated association is allowed to be a party in a lawsuit (Article 52 of Civil Procedure Act) and become a registered owner of real property (Article 30 of Real Property Registration Act), which means that unincorporated associations are treated the same as incorporated associations in lawsuits and enforcement thereof. Such treatment is natural considering that there is no substantive difference between non-profit incorporated associations and unincorporated associations except for requirement of permit by a government agency (Article 32 of Civil Act). As for partnership, however, there are some issues. The first issue is whether a partnership should be allowed to be a party in a lawsuit. If the answer is yes, in terms of procedural law, a partnership will be treated as unincorporated association and give rise to contradiction with its property relationship in substantive law. So in a partnership’s lawsuit, all partners have to file, or become defendants of, a lawsuit together. But where there are many partners and thus changes in the membership, conducting a lawsuit in such a manner will cause confusion. Some argue that a partnership has to be allowed to be a lawsuit party to avoid confusion in the lawsuit but that does not solve all the problems. To avoid confusion in a lawsuit wherein a partnership is not allowed to be a party, a “designated party” (in the Civil Procedure Act) may be used in the lawsuit or a partner or managing partner may conduct a lawsuit on behalf of all the partners. However, the former method cannot be used in a lawsuit against the partnership, and the latter can only be used in limited range of cases and so is not very helpful. Therefore, in a partnership with a managing partner, an effective way of avoiding confusion in a lawsuit may be one wherein the managing partner is authorized as trustee for the lawsuit by all partners (trust of lawsuit) and conducts the lawsuit as a party.
