기업가치와 경영자교체, 그리고 외국인투자자의 역할

본 논문은 2001년부터 2008년까지 공정거래위원회가 지정한 우리나라 41개 대규모기업집단 소속 120개 비금융 상장기업을 대상으로 8개년 동안 기업의 경영성과 및 외부감시주체가 최고경영자 교체에 미치는 영향을 실증분석하였다. 먼저 기업의 성장성과 최고경영자 교체의 관계를 분석하고, 최고경영자 교체 중에서 보상 차원에서 이루어진 계열사간 이동을 배제하기 위해 최고경영자의 외부퇴출과 기업 성장성의 관계를 분석하였으며, 지배주주에 대한 독립적 감시기능을 수행할 수 있는 외국인 대량지분투자자가 기업가치와 경영자 교체 간 관계에 영향을 미치는지를 검증하였다. 실증분석 결과, 첫째, 기업가치가 최고경영자의 교체에 미치는 영향은 통계적으로 유의하게 나타나지 않았지만, 기업가치가 계열사간 내부이동을 배제한 최고경영자의 외부퇴출에는 유의한 부(-)의 영향을 주는 것으로 나타났다. 둘째, 지배주주로부터 독립되어 있는 외국인대량지분투자자는 기업가치와 경영자 외부퇴출 간 부(-)의 영향을 더욱 강화시키는 것으로 나타났다. 본 연구결과는 기업가치와 최고경영자 교체 간 관계를 분석하고 이를 강화하는 요인으로 외부감시주체의 역할을 조명함으로써 대규모기업집단 내 기업지배구조의 역할을 실증하였다는 점에서 의미가 있다.
Abstract
This study aims to explore the relationship between firm value and CEO turnover, using a sample of 120 firms from 41 large business conglomerates in Korea from 2001 to 2008. This study, in particular, tries to exclude the cases that CEO transfers to the other affiliated companies inside the conglomerates and analyze the true impact of firm value on forced CEO turnover including the moderating effect of foreign blockholders on the impact. The empirical findings are as follows. First, firm value is inversely related to the probability of external forced CEO turnover with statistical significance, while the negative relationship between firm value and overall CEO turnover including internal CEO transfer does not turn out to have statistical significance. Second, the inverse relationship between firm value and forced CEO turnover was reinforced when foreign blockholders are present as outside monitors. This study revisit the role of corporate governance in value enhancement by reinforcing the relation between firm value and forced CEO turnover.
