기업의 사회적 책임 -기업이론을 중심으로

This research aims to provide a clue that opens the possibility to arrange a new paradigm of corporate law. In this context this paper explores contractarianism and communitarianism - the philosophical backgrounds of the vital firm theories such as contractarian or communitarian theory, and the CSR (Corporate Social Responsibility) understandings of the vital firm theories such as contractarian or communitarian theory. This research reveals that even though shareholder primacy, stakeholder approach, and team production model all belong to contractarian theory, the latter two are similar to communitarian theory in that they all advocate eagerly for CSR, and that the above theories based on pluralistic analysis of corporation have fatal weakness in applying and reforming the shareholder-oriented corporate law. The research concludes that the Enlightened Shareholder Primacy is the realistic paradigm of corporate law as a bridge between contractarianism and communitarianism.
