가족기업의 내외부적 지배구조가 기업의 사회적 성과에 미치는 영향에 관한 실증연구

경제학에 기반을 둔 대리인 이론과 심리학에 기반을 둔 청지기 이론은 가족기업을 운영하는 가족에게 나타날 수 있는 특징들을 상반되게 설명하고 있어, 가족의 경영참여와 재무성과와의 관계에 대해 결정적인 결과를 밝히지 못하고 있다. 이와 같이 대리인 비용을 중심으로 개인수준에서 최고경영자를 분석하고 다양한 재무성과로 가족기업을 평가해 왔던 가족기업에 관한 기존연구와 달리, 본 연구에서는 개인차원의 지배구조를 확장해 가족기업의 내외부적 지배구조에 따라 다르게 나타나는 기업의 사회적 성과를 살펴보고자 하였다. 기업의 사회적 성과는 2007년부터 2009년까지 한국경제정의연구소에서 발표된 경제정의지수를 이용하였다. 연구 결과 가족기업의 지배구조 중 내부적 지배구조에서는 가족의 지분율 및 지분율의 제곱항과 사회적 성과는 U자 형태의 관계를 보였으며, 외부적 지배구조에서는 사외이사의 참여정도는 유의미하지 않았지만 기관투자자의 지분율이 사회적 성과에 긍정적인 영향을 미친 것으로 나타났다. 다시 말해서, 지위(status)로 참여하는 지배구조는 가족기업의 사회적 성과에 영향을 미치지 못하는 반면 실질적인 지분을 보유하여 참여하는 소유(ownership)형 지배구조는 유의미한 결과를 보인 것으로 해석할 수 있다.
Abstract
Two contradictory perspectives, agency and stewardship theory, have emerged over the last decades in order to explain the characteristics occurred in firms that are controlled by families. To resolve these distinctive perspectives, this research endeavored to figure out whether family-controlled firms are positively related to corporate social performance (CSP) under different influences of internal- and external corporate governance. The results indicate that U-shape relationship between family’s ownership and CSP is confirmed, the curvilinear form that CSP improves as family’s ownership increases from the optimal point where the extent of CSP is the lowest. Before the optimal point, CSP decreases as family’s ownership increases. For the hypothesis on external corporate governance, in the meantime, the ownership of institutional investor is positively associated with CSP whereas the ratio of outside directors does not support the hypothesis.
