장수기업의 기업변신을 위한 구조조정과 M&A전략 : 두산그룹 사례를 중심으로

기업을 둘러싼 환경은 끊임없이 변화하고 국내외 많은 기업들이 기업변신을 통해 위기를 타개 하고자 하였으나 성공적으로 기업변신을 이룬 곳은 드물다. 본 사례는 두산그룹의 구조조정과 M&A전략을 통한 기업변신(Corporate Transformation) 과정을 분석하였다. 기업이 지속가능한 경영을 통해 장수를 영위하려면 적절한 타이밍에 기업변신을 이루어내야 한다는 것이다. 국내 최고(最古) 장수기업 중 하나인 두산그룹이 과거 소비재 기업에서 어떻게 ISB(Infrastructure Support Business) 기업으로 거듭나게 되었는지 그 구체적인 과정과 시사점을 분석하고자 한다. 구체적으로 내·외부 경쟁 환경의 변화로 인한 “위기의 확산”을 기업 변화의 압력으로 보았다. 이에 대한 기업의 대응 전략으로서 “기업변신”은 두 가지 과정으로 나뉘어 진행된다고 분석하였다. 먼저 기존의 적자사업과 유사업종을 통폐합함으로써 “기존 사업에서 탈퇴”하고 이후 다각화 특히, M&A를 통하여 “신규 사업으로 진출”하면서 기업변신을 이루어 낸다는 것이다. 이러한 전사적인 기업변신은 장기간에 걸쳐 이루어지는 결과이다. 본 연구를 통해 최고경영자의 강력한 리더십, 구조조정 진행과정에 있어서의 감상적 가치 포기, 핵심역량에 입각한 M&A전략이 기업변신의 시도에 중요한 요소임을 알 수 있었다. 또한 기업의 성장 단계에 있어 성숙기를 지난 기업이 위기 상황에 처했을 때 재도약을 위한 발판으로써 “기업변신”을 활용한다면, 기업의 지속가능한 경영, 즉 장수를 영위 할 수 있는 토대를 마련 할 수 있을 것이다.
Abstract
Life and death is the biggest issue to a human. Just as human life, in business world, survival and death is the most important issue. The start of this paper was off here. Why some companies are constantly growth and surviving, some others are stopped grown and become extinct? This paper selected Doosan Group which is the oldest company in Korea and studied about large-scale changes in the organization of corporate transformation. In detail, spreading of the crisis is the pressure of changing corporate because of changes in external and internal competitive environment. Corporate response strategy for progress as a 'corporate transformation' is divided into two progress. First, corporation withdrawal from old business by merging deficit operation and similar type of business, And after, companies made corporate transformation entered into new business through. This enterprise-wide corporate transformation made over long period of time result. From Doosan Group disposed Oriental Brewery Co., Ltd., they got out of consumer goods industry that focused on food and beverage. Above all, Doosan Group made corporate transformation which is not only takes over Korea Heavy Industry and Construction but also lead heavy industry.
