상장회사의 임원의 보수공시에 관한 고찰

A Study on the Directors’and Executives’ Compensation Disclosure of the Listed Companies

With a fast advancement of IT technology and globalization, today's business management is developed by getting rid of time and space among stakeholders and connecting them through a network of the whole stakeholders. A company in the network can be an extended organization as an integration of the stakeholders of the company. That is, a company is supported by its multiple stakeholders including employees, investors like shareholders, creditors,partners and customers, and then manages all of those efficiently and effectively to contribute to social wealth and creating added value by producing new products. It is so to speak a social citizen that can be recognized by the society. Management specialists operate the company that separates the management from the ownership. Business activities require executives who have higher knowledge and experience because of the complexity related to huge business size, group management, globalization, fast advancement in ICT and networks, changes in social values, environment protection, and accordingly those managers' power over the company is incredible. For the existence and development of a company in this fast changing business environment, it is time to require those management directors of their insights and flexible adaptability,the ability to create management philosophy or vision and its management strategy to realize the vision, their will to achieve the strategic target and the control power over the organization as well. In order for those competent directors to execute their capabilities, it is more important than anything to set up a pay system based on rational evaluation of their performance. However the payment could be one of the conflicts between shareholders and directors, which might cause problems. The payment should be dealt with more carefully than dealings that could cause conflicts between the management directors and other shareholders. Therefore the information on the payment should be open to all stakeholders including shareholders. In other words, the payment system needs to be run under appropriate control and supervision and it should be transparent.
