The Commercial Code has amended on March in 2011. Under the Commercial Code of Korea, a company can issue classes of shares. If a company has only one class of share, the investors have no rights to receive any fixed returns from the company. Some companies do not want to give the shareholders control of the company. It is possible for a company to create a class of preferred ordinary shares, having a right to vote and to receive priority as to fixed income payments. Preference shares are primarily an instrument of corporate finance. Nowadays, It is increasingly common for even small private companies to have different classes of shares. High leveraged companies have a hard time issuing bonds in Korea. So they have much interest on the issuance of Classes of Shares. Redeemable Share means Share owned by an individual or entity which are required to be redeemed for cash or another such property at a stated time or following a specific event. Convertible Share means share that includes an option for the holder to convert the preferred shares into a fixed number of common shares. There are four main issues of the debates. The author explores these four issues and suggests solutions, focusing on Redeemable Share and Convertible Share.
