상법상 준비금제도에 대한 비판적 고찰

초록
전통적으로 준비금은 배당가능이익 계산 시 제외되어 회사 내부에 자금이 유보되도록 하는 기능을 담당한다. 회사 실질자산의 충실화를 기하는 동시에 회사 채권자들을 주주의 기회주의적인 행동으로부터 보호할 수 있다는 것이 준비금제도의 주된 기능이다. 미국의 일부 주회사법에서는 오래전부터 준비금제도의 채권자보호기능으로서의 한계를 인정하고 다른 방법들이 소개되고 있다. 최근에는 일부 유럽 국가들에서 조차 준비금제도를 통한 채권자보호는 시대에 뒤떨어진 개념이므로 준비금제도를 재검토해야 한다는 논의가 일고 있다. 일본의 경우도 자본금 및 잉여금분제도 등을 대폭 개정하여 더 이상 채권자보호를 자본이나 준비금제도에만 의존하고 있지 않다. 준비금제도를 유지하고 있는 입법례에서도 적립비율이 낮을 뿐 아니라 준비금의 역할이 점점 축소되고 있다. 이들과 비교하면 우리 상법은 엄격한 준비금제도를 견지하고 있다. 국제회계기준이나 무액면주식제도의 도입을 계기로 우리 상법상 준비금제도에 관하여 검토할 필요가 있다. 준비금제도를 전격적으로 폐지하고 미국의 ‘분배’와 같은 개념을 받아들여 회사자산의 유출을 규제할 수도 있다. 이 때 우리 실정에 잘 맞는 기준을 선택하는 일이 중요할 것이다. 자본제도는 존치하되 준비금제도를 폐지하고, 준비금제도의 기능을 새로운 분배제도의 도입으로 대체하는 것을 제안한다. 새로운 분배제도로는 잉여금기준을 기본으로 하면서 지급불능기준상의 현금흐름 개념을 보충적으로 적용하는 형태가 우리 현실에 가장 적합한 배당규제의 방식이 될 것이다.
Abstract
Legal Reserve is minimum amount of money that companies are required bylaw to keep as security. When company earns the profit, it should be distributedin the form of dividend. But for tolerating the loss in the future, it saves somepart of net profit in the form of reserve and rest is distributed in the form ofdividend. Legal Reserve must be kept in the form prescribed by law. TraditionallyThere is an obligation of the corporation to maintain Legal Reserve. It is arguedthat Legal Reserve is no longer an appropriate means of safeguarding creditor'sinterests. The primary remedy of the creditor for the unlawful reduction is nomore Legal Reserve. 67)This article introduces other country's Legal Reserve System. The article alsoshows recent trends of improvements on the Legal Reserve System. Compared toother country's Legal Reserve System, Korea's Legal Reserve System is toocomplicated. And The components of capital in Korean Commercial Law aredifferent with those of Korean International Financial Reporting Standards. Thedifference makes it difficult to calculate profit available for dividend. Maybe wecan accept the concept of distribution. The word distribution uses to refer topayments of cash or property to stockholders. The Legal Reserve System inKorean Commercial Law need to be changed.
