A Comparative Study of Investor-State Dispute Settlement in negotiating Korea-China Free Trade Agreement: Issues and Prospects

본고는 지난 5월 공식적으로 협상이 개시된 한국-중국 FTA 투자분야 분쟁해결제도 중 투자자-국가 분쟁해결제도(ISD)의 쟁점과 그 전망에 대해, 2007년 한중투자보장협정과 한미 FTA(KORUS) 11장 그리고 양국이 지금까지 체결한 FTA내의 투자챕터 등을 대상으로 비교법적으로 분석한 것이다. 먼저 ISD는 실체법적 권리와 의무를 대상으로 하는 것이므로 투자분야 자유화에 관한 양국간의 권리 의무에 대해 정리할 필요가 있다. 가장 먼저 ‘설립전투자’를 포함시킬 것인가의 문제는 양국의 투자동향과 정책당국의 판단이 관건인데 중국이 지금까지 체결한 FTA와 양자간 투자협정(BITs)를 통해 보면 수용되기 힘들 것으로 판단된다. 투자자에 대한 대우와 관련하여서는 통상적인 내용과 함께 절대적 기준으로 ‘공정하고 공평한 대우’나 ‘충분한 보호와 안전’ 등은 중국-뉴질랜드 FTA의 투자챕터 수준으로 협상될 가능성이 많다. 마지막으로 ISD의 절차적 측면과 관련하여서는 한중투자보장협정에는 구체화 되지 않았던 ‘본안전항변’이나 ‘청구병합’ 등의 내용이 첨가될 가능성이 있다고 보인다.
Abstract
As indicating the declaration of Korea and China Free Trade Agreement (KCFTA) negotiations on May 2, 2012, this contribution concerns some issues and their prospects in the negotiations with regards to investment and investor-state dispute settlement mechanism (ISD). It examines the nature and function of the ISD in international investment law, and discusses the relevant issues in the KCFTA negotiations from the current Korea-US FTA and the 2007 Korea-China bilateral investment treaty (KCBIT), such as the possibility of pre-establishment clause, the ambit of minimum standard of treatment including the fair and equitable treatment and the inclusion of more detailed procedural points like ‘preliminary objection’, ‘joint interpretation’ and ‘consolidation of claims’. Finally, the conclusion summarizes the observations made in the contribution, supposing that the outcome of the KCFTC would be in line with the 2007 KCBIT.
