초록
본 연구의 목적은 2009년부터 2011까지의 기간 동안 M&A를 공시한 기업을 대상으로 M&A공시와 더불어 자산재평가를 추가로 공시하는 기업과 자산재평가를 추가로 공시하지 않는 기업간 초과수익률에 차이가 있는지 그리고 M&A공시와 더불어 자산재평가를 추가로 공시한 기업을 대상으로 M&A공시 이전에 자산재평가를 공시하는 기업과 M&A공시 이후에 자산재평가를 공시하는 기업간 초과수익률에 차이가 있는지를 분석하는 것이다. 본 연구의 결과는 다음과 같다. 첫째, M&A를 공시하는 기업 중 자산재평가를 추가공시하는 기업과 자산재평가를 추가공시하지 않는 기업간 초과수익률에 차이가 발견되지 않았다. 둘째, M&A이전에 자산재평가를 공시하는 기업보다는 M&A이후에 자산재평가를 공시하는 기업이 높은 초과수익률을 얻는 것으로 나타났다. 그리고 추가분석의 결과 M&A공시 －6개월 동안의 기간에 자산재평가공시를 하는 기업과 M&A공시 ＋6개월 동안의 기간에 자산재평가를 하는 기업들의 차이(TimeUE)를 보면 M&A이전의 자산재평가공시가 주식시장에서 투자자들에게 호재(good－news)로 받아들여지는 것으로 나타났으며, 부채비율이 높을수록 M&A를 결정하기 이전보다는 M&A를 결정한 이후에 자산재평가를 하는 것으로 나타났다. 본 연구의 결과는 자산재평가와 M&A의 결합 공시효과에 대한 증거를 제시함으로써 이들의 공시효과를 별개의 분석대상으로 한 선행연구를 보완하고 자산재평가와 M&A의 관계를 이해하는데도 도움이 될 것으로 본다.
Abstract
This paper analyzes the differences of cumulative abnormal returns between the companies with additional announcement and the companies without additional announcement of asset revaluation, using samples which announced M&A on KRX in the period 2009－2011. This paper also analyzes the differences of cumulative abnormal returns between the announcement companies before M&A and the announcement companies after M&A, using samples with additional announcement. The main results of this paper are as follows: First, there are no differences of cumulative abnormal returns between the companies with additional announcement and the companies without additional announcement of asset revaluation. Second, the firms which choose asset revaluation after M&A have a significantly positive(＋) relation with cumulative abnormal return. Third, the firms with high debt ratio choose asset revaluation before M&A and then have a significantly positive(＋) relation with cumulative abnormal return. The results of this study provide suggestions of the combined relations between M&A and asset revaluation.
