공기업의 지배구조 변화와 경영성과간 관계에 대한 연구

본 연구에서는 2007년 제정된 “공공기관의 운영에 관한 법률”의 제정 및 운영 이후 진행된 한국의 공기업 지배구조 변화가 공기업의 경영성과에 의미 있는 변수로 작용하고 있는 지를 분석하였다. 이를 위하여 준시장형 공기업과 시장형 공기업을 대상으로 2007년부터 2010년까지의 경영성과 및 지배구조 변수들에 대한 자료를 분석하였다. 경영성과 변수로는 자기자본 이익률을 이용하였다. 지배구조 변수로는 비상임 이사 비중, 감사위원회 설치 여부, 주주총회 설치 여부, CEO의 출신유형 및 재임기간, 이사회의 연도별 부의건수, 이사회 원안의결률 등을 이용하였다. 이와 같은 경영성과 및 지배구조 자료를 토대로 패널자료를 구성하고 패널분석을 실시하였다. 분석결과 지배구조 설명 변수 중 이사회 부의건수가 경영성과에 유의한 정(+)의 관계가 있는 변수인 것으로 밝혀졌다. 26개 공기업 분석에서 일부 확인된 CEO의 내부 승진 여부와 경영성과간에 존재하는 (+)의 관계는 준시장형의 경우 뚜렷하게 확인되었다. 또한, 준시장형 공기업의 경영성과에 유의한 (+)의 영향을 주는 것으로 분석된 비상임 이사 비율은 시장형 공기업의 경우는 오히려 유의한 (-)의 영향을 주는 것으로 분석되었다.
Abstract
We analyzed if the changes in the corporate governance of the Korean public firms since the enactment of ‘law on the operation of the public institutions’ in 2007 have had any meaningful effects on their managerial performance. We collected data on the managerial performance and the corporate governance for the 26 Korean public firms during the period of 2007 through 2010. ROE was used as the managerial performance variable. Corporate governance variables were the ratio of part time board member, the existence of audit committee and the stockholders meeting, the type and tenure of CEO, the number of items submitted to the board, and the ratio of affirmative voting of original items in board. Panel data analysis for the panel data of 26 public firms showed that the number of items submitted to the board was the significant governance variable affecting the managerial performance of the public firms. A positive impact on the managerial performance by this governance variable, observed in the total sample, was confirmed for the quasi-market type public firms, too. The ratio of the part time board member had a significant relationship with the managerial performance for the quasi-market type public firms. However, the same governance variable had a significant negative impact on the managerial performance of the market type public firms.
