Corporate Governance legislators want an ideal system maintenance, but a management is trying to pursue self-interest, so the gap is formed between legislators and management. Every country is trying to reform the corporate governance, whenever there is a corporate scandal. However, the reorganization of corporate governance has normative rationality, justification must be realistic and in addition, the government and society, and the academic and business community consensus is required. No matter how good corporate governance, the social and economic world is received from the outside is nothing more than formal institutions. In addition, corporate governance is not a globalization, foreign investors receive from the outside. Amendments to the Korean Commercial Code of 2013 has to be enforced the executive officers, cumulative voting and electronic voting, and introduced to multiple derivative suit. However, I think, the introduction of such a system to have sufficient time need to be considered.
