Corporate Division and Protection of Creditors: Focusing on the Supreme Court’s Recent Decisions

In this article, author reviewed recent Supreme Court decisions related to ‘Corporate Division and Creditor Protection’. From the perspective of legal hermeneutic, the reviewed cases are on the conditions of exclusion of joint responsibility, the scope of creditors to whom the separate notice is needed, the protection of creditors and the legal effect when the separate notice is omitted, the revival of the joint responsibility, and the cause of validity of corporate division. The author conclude that the reviewed decisions are the outcome of effort to reconcile the protection of creditors and the flexibility of corporate division transactions. However, from the perspective of de lege ferenda, the spasticity of the system of creditor protection should be mitigated.
