법무법인의 법적 형태에 관한 고찰－미국 LLP도입 방안을 중심으로－

법률서비스업을 위하여 현재 활용 가능한 법률서비스업의 법적 형태로는 법무법인․ 법무법인(유한)․ 법무조합․ 공동법률사무소가 있다. 이중 법무법인의 수가 압도적으로 많다. 법무법인은 3인 이상의 변호사로 구성하되, 그 중 1명 이상이 통산하여 5년 이상 “1. 판사ㆍ검사ㆍ변호사, 2. 변호사의 자격이 있는 자로서 국가기관, 지방자치단체, 「공공기관의 운영에 관한법률」 제4조에 따른 공공기관, 그 밖의 법인에서 법률에 관한 사무에 종사한 자, 3. 변호사의 자격이 있는 자로서 공인된 대학의 법률학 조교수이상의 직에 있던 자”이어야 한다(변호사법 제45조 제1항). 이러한 법무법인은 상법상 합명회사를 준용하는데, 최근 구성원 변호사의 불법행위로 인한 손해배상소송이 많아지면서 변호사 업계에서는 구성원 변호사들에게 연대책임을 지우는 합명회사를 준용하는 법무법인의 형태에 대한 불만의 목소리들이 높아지고 있다. 변호사업계에서는 공익성을 지닌 법무법인에 대하여 영리추구가 기본 목적인 합명회사 규정을 준용하도록 한 변호사법이 헌법상 평등권과 재산권을 침해하고 있다며 법원에 위헌심판을 제청하였고, 일본의 경우를 예로 들면서 각 사안별로 관련된 구성원 변호사들만이 책임을 질 수 있도록 법률이 개정되거나 또는 회계법인의 경우처럼 합명회사 준용에서 유한회사 준용으로 변호사법을 개정하여야 한다는 주장을 하고 있다. 그러나 구성원 변호사에게 부과되는 무한책임을 면하는데 급급할 것이 아니라, 근본적으로 법무법인의 활성화에 적절한 법무법인의 법적 형태 마련을 위하여 고민하여야 할 것이다. 이에 본 논문에서는 미국에서 법무법인의 법적 형태로 운영되고 있는 Limited Liability Partnership에 관한 고찰을 통하여 현재 우리나라에서 문제가 되고 있는 사안들에 관하여 해결방안을 논하고자 한다.
Abstract
Law firms are supposed to be organized in various ways, depending on the number of member attorneys. The Attorney Law of Republic of Korea, however, do not allows law firm to be organized as Limited Liability Partnership. The most popular law firm in Korea is the general partnership style law firm, in which all the attorneys who are members of the firm share ownership, profits and liabilities. The author insists that the Limited liability partnership(“LLP”), in which the attorney-owners are partners with one another, but no partner is liable to any creditor of the law firm nor is any partner liable for any negligence on the part of any other partner, is the most suitable organizational form for the law firm. Also, in an LLP, one partner is not responsible or liable for another partner’s misconductor negligence. This is an important difference from the Korean general partnership style law firm, in which each partner has joint and several liability. Introducing the United States’ LLP history and current laws, the author suggests the better legal form for Korean law firm.
