기업의 다각화가 이익조정에 미치는 영향

초록
본 연구의 목적은 기업의 다각화수준 및 형태가 이익조정에 미치는 영향을 살펴보고, 이러한 관련성이 기업지배구조의 효율성에 따라 달라지는지를 검증하는 것이다. 분석을 위해, 2000년부터 2009년까지 한국거래소에 상장된 제조기업 중 264개의 기업, 1908개의 기업-연 자료를 최종 표본으로 선정하였다. 실증분석결과를 요약하면 다음과 같다. 첫째, 다각화수준을 사업부문수, 베리-허핀달지수, 엔트로피지수로 측정하여 이익조정에 미치는 영향을 검증한 결과 양(+)의 관련성이 나타났으나 통계적인 유의성은 발견되지 않았다. 그러나 다각화 형태를 사업부문간 상호관련성에 따라 관련 다각화와 비관련 다각화로 구분하여 이익조정과의 관련성을 분석한 결과, 유의적인 양(+)의 관련성이 있는 것으로 나타났다. 이는 이질적인 사업부를 운영하는 비관련 다각화 기업의 경우, 관련 다각화 기업에 비해 조직 및 업무 복잡성이 높아짐에 따라 경영자의 노력투입 및 직무수행 결과에 대한 감시비용이 높아지게 되어 주주-경영자 사이의 정보 불균형이 증가하며, 경영자는 이러한 정보 불균형 수준을 이용하여 자신의 사적이익을 추구하기 위해 이익조정에 가담할 여지가 있음을 시사한다. 둘째, 비관련 다각화수준과 이익조정사이의 양(+)의 관련성에 대한 기업지배구조의 조절효과를 검증한 결과, 비관련 다각화와 외국인 지분율, 그리고 사외이사 비율과의 상호작용항 계수가 유의적인 음(-)의 관련성을 나타내었다. 이는 비관련 다각화수준이 높은 기업의 경우, 외국인 지분율이 높을수록, 그리고 이사회 내 독립적인 사외이사 비율이 증가할수록 기업지배구조의 효율성이 강화되어 경영자의 이익조정 행위가 감소하게 됨을 의미한다.
Abstract
The purpose of this paper is to analyze the effect of corporate diversification on earnings management, and then to investigate the moderating effects of corporate governance structure on their relationship. Sample of this study consists of 1,908 firm-year data listed on Korea Exchange from 2000 to 2009. The results are as follows. First, There is no significant relationship between the level of corporate diversification measured by number of business segments, Berry-Herfindahl index, and Entropy index and earnings management. But, the level of Unrelated - diversification is positively associated with earnings management. These results mean that earnings management is exacerbated in Unrelated-diversification firm. Second, There is the moderating effects of foreign equity ownership and outside directors on the relationship between Unrelated-diversification and earnings management. These results imply that earnings management is mitigated when foreign equity ownership and outside directors increase in case of unrelated –diversification firm.
