지분투자형 크라우드펀딩 규제에 대한 비교법적 검토

초록
현재 지분투자형 크라우드펀딩 도입을 위하여 관련 법률 개정안 2개가 2013년 중반에발의되었는데 아직 국회에 계류 중이다. 우리 법안 발의 당시만 해도 세계 어느 나라도 지분투자형 크라우드펀딩을 시행하지 않고 있었고, 대부분 국가에서 별다른 움직임이 없어서구체적 법령이 발표된 경우도 거의 없었다. 그러나 지난 1년 사이에 상당한 변화가 있었다. 이탈리아는 행정청의 시행규칙까지 완료하고 세계 최초로 시행에 들어갔고, 미국은SEC가 오랫동안 미루어왔던 잡스법상 크라우드펀딩법을 시행하는데 필요한 규칙 안을 입법예고하고 의견 수렴에 들어갔다. 그리고 일본도 신속하게 지분투자형 크라우드펀딩을허용하는 금융상품거래법을 개정하였다. 프랑스와 영국도 지분투자형을 포함한 크라우드펀딩을 허용하는 규칙을 공표하고 시행에 들어갔다. 이 논문은 필자가 1년 전에 발표한 관련 논문의 후속편으로서 최근의 외국의 활발한 입법동향을 비교법적으로 분석하고 시사점을 도출하여, 현재 우리 국회에 계류 중인 법안에 서의 도입방안을 재설계하고, 향후 개정작업에도 활용될 수 있도록 핵심 쟁점별로 검토 의견을 제시한 것이다. 특히, 자세한 법률과 규칙이 공표된 이탈리아와 미국의 입법례를 집중적으로 분석하고, 발행기업과 펀딩포털, 그리고 투자자보호에 관한 핵심 쟁점별로 우리 법안과 비교하여 장단점을 검토하고 결론을 제시한다.
Abstract
The National Assembly of Korea has reviewed two legislative proposals for the introductionof equity crowdfunding since mid-2013, yet to pass. There has been no single country havingenforced the equity crowdfunding and few or no countries had even the relevant legislationsuntil the two proposals are submitted to the Congress last year. Considerable changes, however,have happened during the passing year. Italy, for the first time in the world, has started regulating the equity crowdfunding withlaws and administrative rules and regulations. The Securities and Exchange Commission ofthe United States has published the long awaited rule proposal for the implementation ofthe CROWDFUND Act of JOBS Act 2012. Japan has also made the revision of the relevantlaw quickly in spite of late start. Finally, France and the United Kingdom have implementedrules for crowdfunding too. The article is a kind of follow-up version of my previous thesis on this subject. My studythis time makes reviews on the latest legislative trends and draws useful implication fromother legislative cases, especially, focusing on the cases of Italy and the US.
