품질보증책임(warranty)의 법적 성격

워런티(품질보증의무)는 미국 민사거래의 대다수를 차지하는 매매계약에 적용되는 법리로서 매우 중요하고 법리 또한 매우 발전되어 있다. 이러한 발전된 법리에 따라 매도인과 매수인간에 정교하게 달성된 균형점이 품질보증법리로 구현되어 실제 거래계에서 사용되어 진다. 그런데 이렇게 작성된 품질보증법리가 우리나라에 와서 우리 법체계에 맞게 매우 제한적으로 해석된다면, 매도인과 매수인간의 균형은 깨어지게 되고, 매수인 보호를 위해 인정되었던 여러 법리가 인정되지 않게 됨에 따라, 품질보증내용은 매수인에게 매우 불리하게 적용될 수밖에 없다. 그렇다면 외국 법체계내에서 매도인과 매수인간의 적정 균형점이 달성되었다면, 이와 동일한 제도를 수입하여 우리 법체계내에서 운영할 때에는 매도인과 매수인간의 적정 균형점이 달성될 수 있도록 탄력적으로 법리를 해석하고 운영해야 그 맥락에 맞는 법리운영이 될 것이다. 물건의 품질에 문제가 발생한 경우, 제조사가 채무불이행 전체가 아닌 하자담보책임에 국한하여 책임을 지도록 하는 것이 바람직하다. 다만 하자담보책임을 해석함에 있어서 법정무과실책임에 의할 것이 아니라 채무불이행설을 취하되, 3설인 명시적 묵시적 품질보증의무설에 의해 제조자의 책임범위를 합리적인 범위까지 확대인정하는 것이 타당하다.
Abstract
The warranty is very important tool in U.S. sales contract which takes most of transactions. It’s doctrine has been well developed. The sophisticated well balanced point was made between buyer and seller with the help of warranty. However, if this well balanced warranty would be interpreted very narrowly according to the Korea legal system, then the balance between buyer and seller would be broken. Also, many doctrine relating to warranty which helps buyer cannot work properly anymore. In that case, warranty will work against buyer. When we introduce foreign doctrine to our country, we should be very careful to deal and interpret it properly while keeping balance between buyer and seller. If there is a defect found in goods of purchase and sale, the manufacturer has to take responsibility not for all the non-fulfillment obligation of breach of contract but only for warranty breach liability. However, when the courts interpret warranty, they should interpret not by no fault legal liability theory but by express and implied warranty theory. It can help to enlarge properly the liability scope of manufacturer.
