最近韩国商法上企业治理结构的变化与正确的发展方向

Since the late 1997’s economic crisis in Korea, the Korean government has tried to change the fundamentals of Korean corporate governance in order to restore the Korean financial market. Changing the fundamentals of Korean corporate governance in Korea was realized as amending the Corporate part in the Korean Commercial Code. Therefore, the Korean Commercial Code has been amended many time just after the late 1997. In details, the Korean Commercial Code was amended in 1998, 1999, 2001, 2002, 2008, 2009, 2010, 2011 and 2012. Among them, 1998, 1999, 2001, 2009 and 2011 amendments are very close relations to the Korean corporate governance. And in 2013 there were very significant scheme for amendment of Korean Commercial Code to the Korean corporate governance. In the meanwhile, many studies and researches have focused on the detail subjects related to the Korean corporate governance whenever the Korean Commercial Code has been amended since ate 1997’s economic crisis in Korea, but there are rare studies which screened the general amendments at large and examined the history of the changes of the corporate governance in Korea. In that, this research examines the flow of changes for the betterment of Korean corporate governance through the Amendments of Korean Commercial Code in 1998, 1999, 2001, 2009 and 2011, and the government proposal for Amendment to Korean Commercial Code in 2013. The research aims to establish the model of the corporate government standard to help China to build up the corporate governance.
