기업법령상 특수관계인에 대한 개선 연구 : 「상법」과 「공정거래법」을 중심으로

이 글은 「상법」과 「공정거래법」을 중심으로 특수관계인 관련 규정 개선에 대한 방안을 검토하였다. 특수관계인은 대가족 제도에 익숙한 한국인의 현실에 부합하고 어느 정도 성과를 거두었던 규율 방식이었다고 생각된다. 이와 같은 한국 상황의 변화를 고려하지 않고 법령은 오히려 친족의 범위를 확대하는 경우가 왕왕 발견될 뿐 아니라, 국민의 재산권 등 주요한 기본권을 제약하게 되는 결과를 초래하는 이러한 특수관계인 규정을 법률이 아닌 시행령 등에 위치시키는 경우가 적지 않다. 뿐만 아니라 실질관계에 가장 철저하여야 할 세법에서도 법령에 기계적으로 특수관계인의 규정을 두고, 경제적 실질에 상관없이 특수관계인으로 규정될 수 있도록 하는 경우가 발견되고 있다. 특히 법령상 특수관계인에 해당하는 친족관계의 범위를 축소하여야 한다는 논의는 제법 제기되고 있는 문제이다. 오늘날 한국은 짧은 시간에 집단적 또는 대가족적 생활로부터 개인적 또는 소규모가족 단위로 생활 형태가 변경되었다는 점을 감안하여야 한다. 이는 심지어 우리와 유사할 것으로 예상되던 중국이나 일본의 사례에서도 우리보다 좁은 범위의 친족을 특수관계인으로 규정하고 있다는 점에서도 일부 타당성을 발견할 수 있을 것으로 보인다.
Abstract
The concept of the related person is one of the legal solution to deal with the problems of negative phenomenon of economy. The concept and the solution are popular in Korean legal system. We can find the term of 'related person in lots of enterprise regulations. The specific definition and its scope is differently set based on individual Act's regulatory purpose. This regulations utilizes this term in order to restrict the possibility of related person to sit on board, to prohibit related person's monetary transaction with her corporation, etc. It's clear that these provisions relating to related person may contribute to improve corporate governance. There are enough of critical views from many papers about the wide range of related person and uncertainty of the term of 'important point relating to corporate management' and 'actual influence' of the provision. Most of all, the scope of relatives in related person is so wide that a person who is not economically related to principal might to be regarded as related person.
