기업의 이익관리 메커니즘과 내부자거래에 관한 연구

초록
본 연구는 코스닥시장 상장기업의 내부자가 자기주식 매수 또는 매도를 통해 의도된 사적이익을추구를 위해 기업의 보고이익을 관리・조정하는 행위를 할 유인에 근거하여 기업의 이익관리 메커니즘과 내부자거래와의 관계를 분석하였다. 기업의 경영자는 다양한 동기로 이익조정을 수행하고이러한 이익조정의 동기로 내부자 거래의 성과를 극대화하려는 행위간에 체계적인 관련성여부를 분석하는 것이다. 본 연구의 분석결과, 이익유연화수준 및 재량적 발생액과 내부자거래와의 관계에서매수그룹은 유의한 음(-)의 관계를, 매도그룹에서는 유의한 양(+)의 관계를 나타내어 내부자가 이익을 내부자 거래로 인한 이익 극대화를 위해 매도거래 이전에 이익을 상향조정하고, 매수거래 이전에는 이익을 하향조정하는 것으로 분석된다. 내부자 거래와 이익관리지표간의 이와 같은 관계의 지속성을 분석한 결과도 동일한 양상을 보이고 있다. 특히, 이익유연화수준 보다 재량적발생액과의관계가 내부자거래와 더욱 밀접한 관련을 갖는 것으로 나타나고 있어 재량적 발생액이 내부자거래의 속성을 분석하기 위한 보다 나은 지표임을 시사하고 있다.
Abstract
Managers have the motive of the earning management or manipulation for their private interests. From many prior researches, they usually use means of buying and selling the treasury stock. That is, they are willing to maximize insider trading performance by trading treasury stock. So, this study is to analyze the relation between the insider trading and the earning management mechanism of managers in KOSDAQ market. Main analysis is what the relation the insider trading and the proxies of the earnings management that is the income smoothing level or the discretionary accruals. The result showed that the insider trading has the significant negative relation in the buying group, but has the significant positive relation in the selling group. It means that managers are tend to manage upwardly before selling trade and to manage downwardly before buying trade. Especially, The discretionary accruals are closely connected with the insider trading phase than income smoothing level. The results of this study is suggest that the reported earnings of the firm with insider trading has a higher chance to do earning adjustment than that of the other firms and the insider trading can be used as an useful information to estimate the quality of earnings of the firm.
