주식회사의 의사결정구조와 대표이사의 대표권

대표이사의 대표권 제한에 관한 기존의 논의는 몇가지 문제점들을 제시하고 있다. 무엇보다도 기존의 논의는 다소 포괄적이어서 정치하지 못하거나 일관성이 부족한 점이 보여진다. 주식회사의 대표이사가 갖는 대표권은 법률로부터 부여받은 업무집행권한을 대외적으로 행사하는 것에 불과하므로 의사결정권한까지 당연히 포함하는 것은 아니다. 따라서 주주총회나 이사회의 결의를 얻어 대표이사가 집행해야 하는 사항에 관하여는 대표이사에게 의사결정권한이 없는 것이므로, 위 결의가 흠결되었거나 하자가 있다면 대표이사는 당연히 이에 관한 업무를 집행할 수 없고, 대표권의 ‘제한’이라고도 볼 수 없다. 이러한 관점에서 기존 대표권 제한의 이론을 다음 세가지의 유형으로 나누어 논의하는 방법을 제안하고자 한다. 이 방법에 의하면 법률상 제한의 경우를 대표권 제한의 문제가 아닌 회사의 의사결정구조의 문제라고 보아, 종래 대표권 제한의 논의범위에서 제외하여 별도로 다루게 된다. 첫째, 법률에서 주주총회나 이사회 결의를 요하고 있는 사항 중 별도 소송으로 다툴 수 있도록 규정하는 것은 해당 소송으로 다투고, 둘째, 법률에서 주주총회나 이사회의 결의를 거치도록 요하고 있는 사항 중 별도의 소를 규정하고 있지 않은 사항은 이러한 결의를 거치지 않았다면 위법한 회사의 행위가 된다. 마지막으로 내부적으로 주주총회나 이사회 결의를 요하도록 하는 사항만을 기존 대표이사의 대표권 제한의 법리로써 해결하게 된다.
Abstract
In this article, the author reviews the majority view and court decisions concerning the power of representative directors under the Korean Commercial Code. The author indicates the complexity and inconstancy in the mainstream theory determining the validity of representing acts of the corporate chief executive officers(CEOs). Such acts could be categorized into three groups: (1) Where the effects of relevant flaws are to be decided through lawsuits; (2) Where a resolution by the shareholders’ meeting or board of directors meeting is required; and (3) Where the board’s resolution is required by the articles of incorporation, by laws, or internal regulations. The author suggests that the representing power of CEOs should have its legal ground along with the business execution authority given by the statutes. Also asserts that the prevailing theory about the limitations of CEOs’ representing power should be utilized only to the above (3) cases, and in the cases of the above (1) (2), the issue should be judged as the legal acts performed by the corporations themselves.
