부당한 사업활동 방해행위의 법리- 독일 경쟁제한방지법(GWB)을 중심으로

우리 공정거래법은 정당하게 경쟁을 하는 사업자의 사업활동을 보호함으로써 시장에서의 자유롭고 공정한 경쟁을 지키고자 한다. 우리 법상 시장 지배적 사업자의 지위남용행위와 불공정거래행위로서의 사업활동 방해행위가 규정되어 있는데, 명확한 구별이 쉽지 않다. 행위주체나 방해의 대상 면에서 크게 차이가 나지 않음에도 불구하고, 포스코 판결 이후에 불공정거래행위로서의 사업활동 방해행위에 대한 법리 형성이 중요하게 되었다. 독일은 최근 경쟁제한방지법(GWB)을 개정하여 경쟁과정에서 거래상대방 또는 경쟁사업자에 대하여 불공정한 경쟁수단을 사용하는 것을 엄격하게 규제하고 있다. 우선 시장지배력을 가진 사업자가 경쟁사업자 내지 거래상대방을 대상으로 경쟁을 방해하거나, 이들을 시장에서 배제할 우려가 있는 사업자의 행위를 금지하고 있다. 그리고 우월적 지위를 이용하여 시장에서의 지위가 약한 사업자의 사업활동을 부당하게 방해하는 행위는 2가지로 구별하여 규정하고 있다. 하나는 거래관계에서 상대적으로 우월한 지위를 갖고 있는 사업자가 그의 우월적 지위를 이용하여 거래상대방의 사업활동을 방해하는 행위를 금지하는 것이고, 또 하나는 동일 시장에서 상당한 지배력을 갖고 있는 사업자가 자신과 경쟁하고 있는 중소사업자를 부당하게 배제시키는 행위를 하는 것을 금지하고 있다. 이 과정에서 경제적으로 다소 비효율적이게 보이는 중소기업을 경쟁법의 규정을 통하여 보호하고자 하는 것은 거래상대방의 결정의 자유를 존중하여 거래의 공정성을 확보하고, 동시에 시장에서 경쟁의 기반을 마련하여 경쟁자들에게 자유로운 경쟁을 할 수 있도록 하는 것이다. 독일법에서의 시사점을 바탕으로 우리 불공정거래행위로서의 사업활동 방해행위에 관한 구체적 기준의 개선이 필요하다고 하겠다.

Abstract

Legal Doctrine of Unfair Disruption of Business Activities in View of the German ARC Hwang, Tae-hi By protecting the business activities of those market players engaging in legitimate competition, the Monopoly Regulation and Fair Trade Act (MRFTA) of Korea seeks to ensure free and fair market competition. The Korean law defines activities disrupting the business of other competitors either as an abuse of market-dominant position or as unfair trade practices, which are not always easily distinguishable. Even though the differences between the two criteria are not significant in terms of the subject of action and the object of disruption, establishing the legal doctrine of unfair disruption of business activities has taken on added importance since the POSCO decision. With its recent amendment in 2013 to the Act Against Restraints of Competition (ARC, GWB), Germany strictly regulates the use of unfair competitive means against counter-party or competitors in market competition. Above all, the law prohibits the operators with market-dominant power from disrupting the competition of their competitor or counter-party, or from engaging in an activity likely to exclude those competitors or counter-parties from the market. In addition, the law defines leveraging one's superior market power to unfairly disrupt the business activities of those entities with weak market positions in the following two distinct ways: (a) One is the prohibition of an entity with a relatively superior position in transaction from leveraging its superior position to disrupt the business activities of its counter-party; and (b) The other is the prohibition of an entity with a significant power in the same market from unfairly excluding small- and medium-sized enterprises (SMEs) in a competitive relationship with itself. The rationale behind seeking to protect SMEs, which may seem somewhat economically inefficient, through the provisions of competition law is to ensure the fairness of transaction by respecting the freedom of decision of the counter-party, and at the same time to enable free competition to competitors by laying the foundation of market competition. It would be desirable to build on the implications of the German Act Against Restraints of Competition (ARC, GWB) to further define the concrete criteria of unfair disruption of business activities as an unfair trade practice under the Korean competition law.
