미국 계약법상 특정이행의 한계에 관한 연구

초록
계약당사자 일방의 채무불이행으로 계약위반이 된 경우 채권자의 이에 대한 구제수단이문제된다. 미국법체제상 그 구제수단으로는 법상 또는 형평법상으로 크게 손해배상, 특정이행, 손해배상액의 예정 등을 들 수 있을 것이다. 이러한 구제수단도 일정한 한계를 갖게 되는데 본 연구에서는 형평법상 구제수단인 특정이행과 관련하여 살펴보기로 한다. 특히 미국계약법은 법리보다는 사례중심의 문제해결에 초점이 있으므로 특정이행의 분류가 쉽지 않으나 특정이행이 적용될 수 있는 한계를 구체적으로 살펴보고, 이를 우리나라에 적용시켜보는 것도 의미있는 연구가 될 것으로 본다. 물론 국가간 물품거래에 있어서 계약위반시 국제물품매매계약에 관한 국제협약(CISG)가 적용될 수도 있지만 이 역시 일정한 제약 (특정이행명령을 할 경우 이것을 집행할 수 있는 메카니즘이 존재할 경우에만 특정이행을 고려할 수있는 등)이 있다. 만일 설령 계약당사자의 계약불이행으로 인해 법원으로부터 특정이행 판결을 받더라도 집행단계에서는 실제로 가능하지 않은 경우가 발생할 수 있다. 그리하여 본 연구에서는 미국 계약법상 특정이행의 한계를 관련 법 내용과 사례 등을통해 살펴본다. 미국 계약법상 계약위반시의 구제수단으로서 특정이행에 대한 이해를 심화시킴으로써 계약상 분쟁발생시 구제방안의 활용에 의미를 두고자 한다. 본고에서는 먼저미국법상 특정이행의 개념 등 일반적인 내용을 살펴본 후, 특정이행의 한계에 관한 유형화를 도모하고, 우리에게 주는 시사점을 찾고자 한다.
Abstract
There are several limitations on the normal expectation damages for recovery for breach of contract in the United States, such as ‘mitigation,’ ‘foreseeability,’ and ‘certainty.’ It would not be unusual for equitable remedies to have special limitations because an ordinary remedy may be circumscribed. Because of that, it would be important to examine those limitations, such as the ‘inadequacy limitation’ including the ‘uncertainty limitation,’ the ‘fairness limitation,’ ‘public policy limitation,’ and ‘the judicial supervision limitation.’ Under these circumstances this paper attempts to explain limitations of specific performance as a remedy for breach of contract in the United States based on the U.S. laws, rules, and cases. First, we will discuss, in detail, the general rules and related sample cases of specific performance in the United States. Second, we will examine some limitations of specific performance are treated in the United States. Finally, we conclude with implications associated with the limitations of specific performance in breach of contract.
