합병비율의 공정성을 위한 제언

초록
‘공정성’이라는 것은 무엇을 의미하는 것인가. 그 개념 자체가 허구적이고 모호하기 때문에 어떤 요건을 갖추어야만 공정성 자체를 판단할 수 있는 것인지 그 개념을 명확히 하기란 어렵다. 합병에 있어 합병비율은 공정한 가액으로 산정되어야 한다. 그러나 그 공정함을 확보하기 위해 우리는 공정성의 의미를 명확히 하기 보다는, 공정하지 않은 요건들을 배제하는 것으로 공정성을 확보해 오고 있다. 그러므로 공정성의 의미를 명확히 함으로써 그동안의 간접적으로 불공정함을 가려내었던 모호성을 최소화하고자 한다. 즉 합병가액 산정시 요구되는 공정함이라는 것은 각 상대방으로 하여금 ① 정확한 정보가 제공되고, ② 적법하게 평가되어야 하며, ③ 그 평가는 절차나 과정에 있어 당사자들이 공정성을 인식할 수 있을 정도여야 할 것이다. 합병가액의 공정성 확보를 위해 고려할 사항으로 위 세 가지를 열거하면서, 구체적으로는 합병에서의 공정성의 의미를 찾고자 한 것에 그 뜻을 두기로 한다. 그동안 허구적 당위성으로 존재하는 공정성에 대한 의미를, 합병에 비추었을 때 좀 더 명확한 의미로 해석될 수 있도록 제안을 하고, 그 실체성을 부여하고자 한다.
Abstract
What does the term “fairness” mean? As this concept is in itself fictional and vague, it is difficult to clarify its notion as to what factors are necessary to judge fairness by itself. In a merger, the rate of merger must be calculated to a fair price. However, to reach this state of fairness, we’ve been eliminating the conditions which are unfair, instead of clarifying the understanding of fairness. Therefore, the meaning of fairness should be made clear, to minimize the vagueness in which unfairness was filtered indirectly in the past. In other words, fairness required in calculating the price of merger should, between the parties, ① provide accurate information, ② lawfully assessed and ③ the assessment should be transparent, in procedure and process, that all concerned can be recognised. Listing the three points above as the considerable factors to ensure fairness in merger pricing, more specifically the subject is the finding the implication of fairness in mergers. Here are suggestions for the meaning of fairness, which so far has existed as fictional appropriateness, so that in merger situations it can be interpreted with a more clear understanding and also to add substantiality to its meaning.
