ISD 중재사건은 국제공법에 의해 준거되는 분쟁해결절차인바, 투자자가 투자유치국에 대해 갖는 청구권의 유무는 투자보호협정 외에도 국가책임에 관한 국제관습법 등 제반 국제법 규칙에 의해 결정되게 된다. 투자유치국에 귀속되는 행위를 통해 투자보호협정이 위반될 경우 그것만으로도 국제위법행위에 따른 국가책임이 발생한 것으로 간주하는 것이 타당하다고 여겨지나, 대다수 ISD 중재판정부들은 공권력 행사와 같은 주권적 행위가 아닌 민사적 행위를 통해서는 국제법상의 국가책임이 발생할 수 없다고 판단해왔다. 그런데 대한민국과 미국 간에 상호 투자자 및 투자에 대해 적용하여야 할 보호 의무를 규정한 한미 FTA 제11장은 민사적 행위를 통해서도 국가책임이 발생할 수 있는 구조를 채택하고 있다. 한미 FTA 제11장의 적용범위가 반드시 대한민국에게 불리하게 작용하리라고 단정할 수는 없으나, 한미 FTA 제11장에 따른 국가책임 발생범위를 제한적으로 해석하는 것이 바람직하다고 판단될 경우 다양한 논리개발을 통해 유리한 선례가 형성되도록 노력할 필요가 있을 것이다.
Abstract
Investor-State Dispute Settlement (“ISDS”) is a form of international arbitration governed by the public international law. An ISDS is governed not only by the applicable investment treaty, but also by various rules of general international law such as rules on state responsibility. It appears that a host state should be held responsible for its violation of an investment treaty as long as such action is attributable to the host state, but most tribunals have held that only sovereign acts, as opposed to commercial acts, can constitute breach of international obligations. Meanwhile, Chapter 11 of the Korea-US Free Trade Agreement has a provision specifically devoted to define the scope of its own applicability. Under that provision, a host state would have to assume a relatively expansive scope of state responsibility which may even cover commercial acts. While this paper does not necessarily suggest that the scope of state responsibility under Chapter 11 of the Korea-US Free Trade Agreement would be detrimental to Korea, it may be desirable to devise a set of argument to limit the scope of Chapter 11’s applicability.
