상법상 유한책임회사와 미국 LLC의 비교 연구

초록
우리나라에서는 상법상 회사의 여러 가지 형태 중 주식회사로 설립되는 경우가 95% 가량 되고 다른 회사형태는 많이 사용되지 아니했다. 미국에서는 1977년 이래 유한책임회사(Limited Liability Company, 이하 LLC)라는 제도가 소규모 창업과 벤처기업에 많이 사용되고 있다. LLC는 기업의 내부관계인 설립․운영․해산과 관련하여 인적 회사처럼 사적자치를 폭넓게 인정하면서도 기업의 외부관계에서는 사원의 유한책임이 인정되는 기업형태로서 주식회사와 조합의 장점을 모두 가지고 있는 회사 형태인데, 20세기말~21세기초 미국에서의 벤처산업의 발전에는 이 LLC 제도가 크게 기여한 것으로 평가되었다. 때문에 우리나라에도 이러한 회사형태의 도입이 필요하다는 학계의 의견이 꾸준히 있어왔다. 이에 따라 2011년 상법개정시에 ‘유한책임회사’라는 명칭으로 LLC제도가 도입되어 2012년 4월 15일부터 시행되었다. 그러나 새로 도입된 유한책임회사 제도는 입법 당시의 기대와는 다르게 신규 창업기업이나 소규모 기업의 회사형태로 그다지 주목받지 못하고 있다. 이러한 시장의 무관심은 우리 상법상 유한책임회사 규정이 성공한 제도인 미국법상 LLC와는 달리 여러 가지 문제점이 있기 때문이라고 생각된다. 이에 본고에서는 우리 상법상 유한책임회사와 미국의 LLC 관련 법제도를 비교하여 고찰함으로써 우리 법상의 문제점을 고찰하고 이의 개선방향을 제시하였다.
Abstract
In Korea, the “Corporation” is the most commonly incorporated type of company. Almost 95% of national companies established as a corporation, regardless of their size. Since 1977, “Limited Liability Company (LLC)” becomes one of the most popular type of company in USA. LLC is a business structure that combines the flexibility of a partnership or sole proprietorship with the limited liability of a corporation. LLC has grown to become one of the most prevalent business forms for small, start-up and venture business in USA. And it contributed greatly to the venture business development of late 20 Century in USA. Since 2000, many scholars argue that it is necessary to LLC as a business form in Korea especially for growth of small, start-up and venture business. So, Korea amended the Korean Commercial Code in 2011 creating a new type of business organization, “Limited Liability Company”, a close variant of the American LLC. But Korean Limited Liability Company is not popular type of company in Korea against expectations. The author examines that is the result of the differences in Korean LLC Act with USA LLC Act. In this paper, the author make a comparative study on the Limited Liability Company in Korea(a part of Korean Commercial Code) with USA(RULLCA: Revised Uniform Limited Liability Company Act). And the author suggests some revision of Limited Liability Company legislation in the Korean Commercial Code.
