중국 자동차 기업과 다국적기업간 전략적 제휴유형 변화에 관한 연구

본 연구는 중국 자동차 산업의 완성차 제조 부문에서 중국 기업과 다국적기업간 전략적 제휴 유형 변화를 분석하였다. 이를 위해 1985년부터 2005년까지 중국 자동차 산업에서 발생한 전략적 제휴 유형을 기술 공여(TS), 부품 제조(PS), 공동 생산(JM), 양산형 합자기업(KD형 JV), 공동연구개발형 합자기업(JD형 JV) 등 다섯 가지로 나누었고 실제 제휴 건 수를 추적하였다. 중국 기업(국유기업) 13개와 다국적기업 22개를 표본으로 선정하였고 이들 기업간 실제 제휴 사례를 분석하였다. 분석 결과 지난 20여 년간 중국 자동차 산업에서 전략적 제휴의 주요 유형은 ‘非지분형 제휴→지분형 제휴→양산형 합자기업→공동연구개발형 합자기업’ 순으로 변화되어 왔다. 그리고 이러한 변화 과정은 다국적기업의 해외시장진출 과정에서 일반적인 발전 모델에 상당 부분 부합하는 것이다. 그러나 다국적기업 국제화 과정에서 합자기업 설립 다음 단계인 인수합병이나 단독투자는 아직 중국 자동차 산업에서 활발하게 일어나지 않고 있다. 중국 정부가 자동차 산업에서 다국적기업의 지분이 50%를 넘어서는 것과 단독투자에 대해서 여전히 강력하게 규제하고 있기 때문이다. 따라서 현 시점에서 공동연구개발형 합자기업 설립을 통한 중국 기업과 다국적기업간 전면적이고 포괄적인 협력 구조는 중국 정부와 중국 국유기업 및 다국적기업 등 3자간 이해관계가 가장 많이 중첩되는 제휴 유형이라고 할 수 있다.
Abstract
This study tried to access the type change of strategic alliances between Chinese automobile firms, that is Stated Owned Enterprises(SOEs), and MNEs. To do so, this paper tracked alliance cases in vehicle manufacturing business except for motor parts manufacturing by every five years since 1985. Actual cases of strategic alliances between Chinese SOEs and MNEs were classified into five categories; Technology Supply (TS), Parts Supply (PS), Joint Manufacturing (JM), Knock Down type Joint Venture (KD type JV), and Joint Development type Joint Venture (JD type JV). To do analysis for alliance type transition in Chinese auto industry, thirteen Chinese SOEs and twenty two MNEs were selected. Through the analysis, the alliance type between SOEs and MNEs has changed by the way of 'Non Equity Alliances→ Equity Alliances→ KD type JV→JD type JV'. Such a change accords with a general development process for MNEs' internationalization. However M&A or wholly owned subsidiaries, which would be a next step of joint venture, do not show yet popularly in China due to policy regulation. Chinese government has kept MNEs from having over 50% equity of joint venture at the auto manufacturing business, and restricted the number of joint ventures which can be established by MNEs below three. In addition this study defined the JD type JV as a JV carrying out mass production for current model as well as doing R&D for new one. In contrast that KD type JV is the 1st generation JV established in the middle of 1980s, JD type JV is the 2nd generation JV in the late 1990s. Currently it can argue that JD type JV is a more practical option than any others, which is able to satisfy the strategic considerations of three interest groups; SOEs, MNEs, and Chinese government.
