기업의 이사회 평가체제 도입을 위한 평가지표에 관한 탐색적 연구

본 연구는 이사회제도가 도입되어 운영된 지 20여년이 가까워옴에도 불구하고 이사회에 대한전문가들의 평가가 매우 미흡하였다는 점에서 착안하여 이사회 평가체제 도입의 필요성을 역설하고, 평가를 위한 평가지표로는 어떤 것을 포함할 필요가 있는지에 대하여 여러 분야의 전문가들로부터 의견을 취합하고 수렴하고자 하였다. 이사회 평가와 관련한 기존 연구들을 종합하여 가이드라인을 만들어 총 9명의 패널로 포커스그룹을 통해 이와 관련한 논의를 진행하였다. 그 결과, 터널링 문제와 재벌총수의 전횡 등으로 인하여 국내기업의 현 이사회에 대한 평가는 매우 낮았다. 또한 포커스그룹에서는 이러한 문제점들을타개하기 위해서는 이사회의 통제역할이 지원역할보다 우선적으로 강화될 필요가 있다는 의견에일치를 보였다. 이러한 견해는 경중의 차이는 있으나 소유구조의 유형에 관계없이 일치하였고 지원역할의 경우에도 소유구조의 유형별로 차이는 크게 나타나지 않았다. 이사회 제도의 개선 방안으로 포커스그룹에서는 새로운 제도의 도입보다는 독립된 사외이사 선임 및 하위 위원회 내의 사외이사 역할 강화 등 사외이사 제도의 내실화가 우선적으로 고려되어야하고, 이외에 공시제도의 강화나 주주권리의 강화와 같이 규제집단의 역할이 강조되었다. 아울러기업운영에 대한 노하우와 정보를 제공해줄 수 있는 사외이사의 선임이 중요함을 언급하였다. 이러한 연구결과는 현재 국내기업의 이사회의 문제점을 파악하고 이를 개선하기 위한 방향을설정하는데 도움이 됨은 물론, 이사회를 평가를 위한 지표선정에 중요한 지침으로써 활용할 수 있을 것이다.
Abstract
Though the Board of Directors(BOD) has been introduced for 20 years since the BOD was introduced, it was very lacking in the evaluation of experts on the BOD. Thus, this study was intended to emphasize the need for introducing and assessing the need for evaluation of the BOD and to collect opinions from experts in various fields, including assessing what evaluations need to be assessed. The discussion was conducted through the focus group interviews with 9 experts. As a result, the evaluation of the current BOD of Korean' firms was very low due to the problems of tunneling and controlling shareholders of family-controlled conglomerates. In the Focus Group insisted that the governing body's control role needs to be enhanced rather than the support roles of the Board. For the reform of BOD, We concluded that the appointment of independent outside directors should first be considered preferential consideration rather than the introduction of new regulations. The disclosure system and the reinforcement of shareholder rights are needed for the development of the board. .In addition, the role of the regulatory groups was emphasized, such as strengthening the strengthening of the public disclosure system and strengthening shareholder rights. Also, it mentioned the importance of an outside director who can provide insight into the know-how and information on corporate operations.
