주식회사가 아닌 기업형태에 관한 고찰－ 미국과의 비교를 중심으로 －

상법은 주식회사를 제외한 기업형태로서 크게 두 가지의 유형을 두고 있다. 첫 번째는 회사기업으로서 합명회사, 합자회사, 유한책임회사, 유한회사이고 두 번째는 조합기업으로서 합자조합이다. 이 중에서 유한책임회사와 합자조합은 새로운 기업형태로서 2011년 도입되었다. 본 논문은 이 다섯가지의 기업형태를 미국에서의 주식회사(Corporation)를 제외한 기업형태와 비교하였다. 이를 통하여 독일법을 계수하여 발전해온 상법상의 기업행태가 미국에서의 입법과 어떠한 차이점과 공통점을 가지는지 분석하였다. 구체적으로는 미국에서의 기업형태를 무한책임조합(GP), 합자책임조합(LP), 제한책임회사(LLC), 제한책임조합(LLP)으로 구분하여 상법상 기업과 비교하였다. 연혁적으로 유한책임회사와 합자조합은 미국에서의 입법을 참조하여 도입하였고 나머지 네 가지 형태의 기업은 독일의 입법에서 유래하였음은 쉽게 이해할 수 있다. 그러다 보니 입법론적으로 과연 기존의 기업형태와 새로운 기업형태의 도입이 상호 중복되지는 않는지에 대한 진지한 논의가 부족하였다고 생각된다. 그 점은 차후에도 입법을 통하여 해결하여야 할 것이다.
Abstract
In this article I hope to analyze the comparative law study on the small business forms that is not a Corporation(in German “Aktienge- sellschaft”) in Korea and US. For a long time in Korea Corporation is the dominant business structure for many reasons even though there are four other company styles. So in 2009 Korea Commercial Act (hereafter KCA) was amended to introduce some provisions for small Corporation. However this amendment incurred several questions including why the existing Limited Company(in German “Gesellschaft mit beschrnkter Haftung”, GmbH) is necessary. In such state in 2011 KCA established new two more business forms-Limited Liability Company and Limited Partnership- for small business. So there are three similar business structures with legal entity in KCA-Small Corporation, Limited Company and Limited Liability Company. Further newly introduced Limited Partnership is also similar in most part with the existing joint-stock Company(in German Kommanditgesellschaft) that has been provided in KCA before. It may originate from the fact that the new business forms have came from US legislative system what is different from that one of German what has been thought as KCA model. Resultingly there are some not essential differences between Limited Company and Limited Liability Company. It is also same between joint-stock Company and Limited Partnership. So I think it is more reasonable to reform the two old business structures for its frequent uses than to introduce more new ones.
