초록
2011년 개정 상법은 새로운 기업유형으로서 합자조합을 도입하였다. 그 주요 입법동기로서는 사모투자펀드(PEF)의 활성화를 거론된다. 이와 관련하여 두 가지 논의를 지적하고자 한다. 첫째 기존에 이미 상법은 합자조합과 유사한 기업으로서 합자회사를 두고 있고 자본시장법 역시 PEF는 합자회사일 것을 규정하고 있는데 굳이 미국의 합자책임조합(LP)을 염두에 둔 합자조합이 필요한가 하는 점이다. 둘째로 그렇다면 장차 합자조합과 합자회사 중에서 어느 조직이 PEF로서 보다 합리적인가 하는 점이다. 현행 자본시장법은 PEF로서 합자회사만을 고집하고 있기 때문이다. 이 점에서는 ① 합자회사인 경우 정관이 작성되어야 하고 여기에는 유한책임투자자의 성명이 공시되어야 하므로 불편하고 ② 합자조합의 유한책임투자자는 합자회사의 유한책임사원과 같은 자칭무한책임사원책임(제281조)에서 자유로운 반면 ③ 합자조합의 유한책임투자자가 그 지분을 양도하는 경우 조합계약이 정하는 바에 따르므로 자율적인 정함이 가능하고 ④ 상법상 회사는 다른 회사의 무한책임사원이 되지 못하므로 별도의 입법이 필요하지만 합자조합은 아예 문제가 되지 않으므로 논리적으로 간편하며 ⑤ 유한책임투자자의 경업금지의무나 자기거래제한에 대해서도 조합계약에 따른 자율적인 규제가 허용됨으로써 탄력적인 PEF 운용이 가능하다는 점에서 합자조합이 더 합리적이라고 생각된다.
Abstract
In 2011, The Korea Commercial Act(hereafter KCA) was amended to introduce a enterprise type called “Limited Partnership”(LP). It is said that the LP was legislated to promote a easy establishment of Private Equity Fund(PEF). Currently in Korea Capital Market Act (KCMA) it is provided that the PEF must be a “Joint-Stock Corporation” (JSC)(in German “Kommanditgesellschaft”). However the newly legalized LP has many common characters with JSC because they are very similar legal entity although have came from different origins(USA and German) each other. As a result KCA has two alternatives to form a PEF with Korea-LP and JSC. Whereas USA PEF uses LP as a PEF mostly but in German it must be a JSC or Joint Stock Company(in German Kommanditaktiengesellschaft). For some reasons I think that LP is more desirable for PEF. First JSC have to made a article and it must contain the information about the name of limited-liability investors who are reluctant to reveal their investment. Second LP is more convenient in self-regulation for assignment of limited partnership interests because it may provide the autonomic rules in their article. Third LP may let PEF regulate the limited liability investors more flexibly in competing or dealing with PEF which they have invest in.
