중국 국유기업의 이중지배구조에 대한 연구

초록
중국은 법치와 공산당영도가 화학적 결합할 수 있다고 생각한다. 중국의 경제는 자본주의 경제가 아니라 사회주의 시장경제체제이다. 中國 國有企業의 지배구조 개선을 위해 舊三會의 黨委員會 중심 支配構造에서 會社法을 制定하여 株主總會, 理事會 감사회의 지배구조인 新三會로 전환하였다. 중국이 WTO에 가입하면서 外國 會社들과 경쟁하기 위하여 抓大放小의 정책을 펴서 국가의 대규모 중요산업을 유지하고 中小企業은 민영화시키는 構造調停을 단행하였다. 또한 서구 資本主義 會社法 내용을 대폭 수용하고 理事會 중심의 支配構造를 구축하였다. 2008년 세계적인 금융위기가 왔을 때, 中國政府는 國有企業에 4조 위안을 투자함으로 경기회복의 지렛대로 삼아 금융위기를 극복하고 성장을 계속하였다. 해마다 두자리 숫자이상의 높은 성장률을 보이던 중국경제가 2012년부터 8%이하로 떨어졌다. 중국 경제가 7%대의 중고속 성장을 하는 뉴노멀(New Normal)단계인 신창타이(新常態) 시기로 진입하였다. 이러한 배경에는 중국 國有企業의 이중지배구조와 규모는 대규모화 되었지만 효율성은 떨어져 경영상태가 부진하다. 이 문제를 해결하기 위하여 시진핑 국가주석과 中國政府는 國有企業에 民營企業의 효율성을 접목하는 混合所有制를 國有企業의 개혁 방향으로 정하고 5년간 시행을 하고 있다. 株式市場을 통한 대형 국유기업의 자금조달과 국유기업의 부분상장이 아니라 전체자산을 上場하는 방법으로 가고 있다. 이러한 混合所有制를 실시하면서 國有資産의 유실을 막기 위해 共産黨 領導를 더 강조하고 있다. 中國 國有企業의 지배구조는 이중 支配構造로 되어 있다. 특별히 중국 國有企業은 주인이 共産黨이기 때문에 西歐的인 會社法의 원리를 수용하여 支配構造를 구축하였지만 인사와 핵심결정은 共産黨 조직에서 이루어진다. 이러한 실례로 논문에서 세계적인 기업인 中國石化와 工商銀行, 中國移動通信의 이중 지배구조를 제시하였다. 중국의 기업의 지배구조의 발전은 이중 지배구조가 아니라 하나 된 지배구조로 나아가는 것이 필요하다고 생각한다.
Abstract
This study has focused on the dual corporate governance of State- owned Enterprises in China.. China's reformation was started from the state-owed enterprises in order to accomplish the economic innovation. The State-owned enterprises are changed into a limited liability company and a stock limited companies in order to complete separation of the ownership and management and the diversification of the means of fund raising. A Limited liability company in China composed of stocks of equal value of all capitals. The stockholder can paricipate in management of the company with only a certain amount of money. The company assumes responsibility for the debt of the company with all assets when stocks and the old stocks of foreign country are jointly held. China's economic growth rate has fellen from rate 7%. Chinese has attempted to rebalance its economy to achieve a 'New-mormal' of slower. Chinese Goverment has begun Hybrid public ownership reform. The owner of the Chinese enterprise is the Communist Party. I had studied the relationship between the communist party, labor union, a general meeting of the labor of the limited liability company and a board of directors, general meeting of stockholders, auditor committees. Sinopec Limited's parent Sinopec Group is one of the major state-owned petroleum energy and chemicals companies in China. PetrocChina Company Limited is the listed arm of state-owned China. Industrial and Commercial Bank of China Limited the world's largest bank in China.
