다면계약에 관한 소고 - 대리관계와의 법리적 접근을 중심으로 -

초록
계약은 대립하는 2당사자 사이의 의사표시의 합치로 성립하는 법률행위이다. 그런데, 최근에는 다양한 ‘새로운 유형의 계약’인 이른바, ‘복합계약’이 나타나고 있다. 이러한 현대적 유형의 기준으로서, 다수의 개별 계약을 초월하는 계약복합의 문제는 거래 관행 또는 거래 실무에서 발생되었다. 이러한 삼각거래 · 다각거래의 유형은 숫자상으로 많은 것 외에, 그 내용에 대해서도 분업과 업무의 복잡화에 의해 그 성질이 극히 강한 것에서부터 약한 것까지, 매우 다양하며 급격하게 증가하고 있다. 예컨대, ‘제3자를 위한 계약’ 및 ‘계약인수’ 그 밖에 많은 소재에 대해서도 다각의 모습이 인정되고 있다. 특히 대리는 일반적으로 삼면관계로 파악하는 것이 보통이다. 즉 대리는 본인(A) · 대리인(B) 사이의 대리권 수여행위에 대리인(B) · 상대방(C) 사이의 대리행위와 상대방(C) · 본인(A) 사이의 대리효과의 발생이 부가된 것이다. 일반적으로 대리관계에서 수권행위의 개념은 인정되고 있으며, 누가 대리의 행위자인가에 대해서는 대리인행위설이 많은 지지를 얻고 있다. 이러한 3자 관여 행동의 전체를 이른바 ‘대리거래’라고도 하는데, 이러한 대리의 모습을 단적으로 표현한 것으로서, ‘대리의 삼면 관계’라는 용어가 적당하다고 본다. 또한, 상대방(C)도 포함된 3인의 ‘의사’에 모든 것을 되돌리려는 논의의 시도는 가장 기본적이고 중요하다고 할 수도 있다.
Abstract
The contract is the legal act that come into existence through the consensus of a expression of intention between two parties. But the so-called, in recent years, various ‘new contract’, ‘mixed contract’ has been appearing. These new types of contract has been appeared in the practices or trade business in a deal that transcends a number of individual contracts. These triangle type is very diverse and rapidly increasing, for example, the ‘contract for a third party’ and the ‘takeover contract’, etc. The representative act is generally figured out as a three sided - the award of a right of representation, the representative act, the effects of representation. In general, in the relation of legal action, the concept of the award of a right of representation is recognized, and the agent is a actor in the relation. These are the three parties involved so-called ‘substitute transaction’ a whole section of the action, such as proxy representation speaks volumes about the appearance of the law as ‘surrogate three-sided relationship.’ The term, ‘three-sided relationship’ is an appropriate expression, also the attempts to discuss the intention of three parties including the other party is the most basic and important.
