이사회는 기업의 핵심요소이자 기업전략의 수립과 실행에 있어서 주된 역할을 담당하기 때문에 투자효율성에도 중요한 영향을 미칠 것으로 예상된다. 최근 국내기업의 경우 이사회 구성원으로 외국인이 선임되는 비율이 크게 증가하고 있다. 하지만 이러한 외국인 임원의 등용이 이사회의 기능에 미치는 영향에 대한 의문이 제기되어지고 있는 실정이다. 이에 본 연구는 이사회 내 외국인임원의 역할을 살펴보기 위해 외국인 임원과 기업의 투자효율성의 관계를 분석하였다. 분석결과는 다음과 같다. 첫째, 외국인 임원과 투자효율성은 전체적으로 양(+)의 관계가 있는 것으로 나타났다. 둘째, 해외매출비중이 높은 기업일수록 이러한 양(+)의 관계가 더욱 두드러지는 것으로 나타났다. 추가적으로 전체표본을 과잉투자와 과소투자 그룹으로 나누어 살펴 본 결과, 이사회 내 외국인 임원과 투자효율성의 양(+)의 관계는 과잉투자를 감소시키는 것에서 비롯되기 보다는 과소투자를 늘려 투자효율성을 증대시키는 것에서 기인하는 것으로 나타났다. 이러한 결과는 이사회 구성원으로서 외국인 임원의 역할은 이사회의 통제기능 뿐만 아니라 경영진의 의사결정에 조언을 제공하는 기능을 적절하게 수행하고 있음을 시사한다. 기업의 외국인 임원과 투자효율성의 관계를 살펴본 본 연구의 공헌점과 차별점은 다음과 같다. 첫째, 본 연구는 이사회 내 외국인 임원의 자료를 직접 수집(hand-collection)하고 이에 대한 연구결과를 제시함으로써 이사회 구성에 관한 기존 연구를 확장하였다는 점에서 그 의미를 찾을 수 있다. 둘째, 최근 기업의 외국인 임원의 비율이 증가하고, 이들의 활동 영역 또한 점차 확대되고 있는 추세에 외국인 임원의 역할에 대한 실증적 증거를 제시하였다는 점에서 시의적절한 결과를 보여주고 있다. 마지막으로 본 연구의 결과는 외국인 임원이 이사회의 기능에 미치는 영향에 대한 정보를 제공함으로써 관련 법률을 제정하는 정책입안자와 외부투자자 및 국제적 인재를 활용하여 해외 시장을 개척하거나 확장하고자 하는 기업들에게 유용한 시사점을 제시할 것으로 기대된다.
Abstract
This study investigates whether a foreign director affects investment efficiency. Using the 3,874 firm-year observations that are listed on the KOSPI over the period from 2006 to 2014, we find a positive relation between the presence of a foreign director in the board and investment efficiency. We further find that the relationship is more pronounced for firms with higher portion of oversea sales. In addition, we find that the positive relation between the presence of a foreign director in the board and investment efficiency is mainly driven by increasing the level of investment in firms with inefficient under-investment rather than decreasing it in firms with inefficient overinvestment. These results suggest that a foreign director plays a significant role in monitoring managers as well as advising them to lead efficient investment decisions. To check the robustness of the results, we conduct several sensitivity tests. We use the Heckman two-stage model and propensity score matching to control the potential endogeneity issues and the sample section bias. We find similar results for these sensitivity tests. This study has contributions to the extant literature. First, we provide the empirical evidence on the relation between a foreign director and investment efficiency by using the hand-collected data. Second, we believe that our research questions are fruitful and in a timely manner in that there is a growing interest not only in the literature but also, in business practice regarding the role of foreign directors. Lastly, our findings provide implications to related-policy makers, investors, and firms that plan to enter overseas markets by showing the positive role of a foreign director in investment decisions.
