회사분할과 단체협약의 승계 ― 현대중공업 사건을 소재로 ―

최근 회사분할시 단체협약의 승계 여부가 정면으로 다투어진 가처분결정이 있었다(서울중앙지방법원 2017. 9. 11.자 2017카합80551 결정). 회사분할시 단체협약 승계에 관한 입법이 없을 뿐만 아니라 해석상 다투어진 사례도 드문 우리나라의 상황에서 위 가처분결정은 회사분할시 단체협약의 승계에 관한 논의에 중요한 소재가 될 것으로 생각한다. 서울중앙지방법원은 위 가처분결정에서 분할 전 회사가 노동조합과 단체협약의 승계 여부에 대하여 합의를 거쳐 분할계획서에 단체협약이 승계됨을 명시하지 않는 이상 단체협약상의 지위는 분할신설회사에 승계되지 않는다고 판단하였다. 헌법 제33조 제1항은 “근로자는 근로조건의 향상을 위하여 자주적인 단결권ㆍ단체교섭권 및 단체행동권을 가진다.”고 규정하고 있다. 회사분할의 과정에서의 노동조합의 보호는 헌법 제33조 제1항의 노동3권에서 구해야 한다고 생각한다. 노동조합은 근로자의 단결권의 행사의 결과이자 노동조합 스스로 헌법상 단결권의 행사주체이다. 단체협약은 단순한 계약이 아니라 헌법상 기본권인 단체교섭권의 실현의 결과물이고, 이러한 결과물을 얻기 위하여 노동조합은 종종 쟁의행위라는 위험을 감수하기도 한다. 회사분할에 관한 주주총회결의는 당해 회사의 내부적 의사결정에 불과하다. 회사분할에 관한 상법 규정에 근거하여 회사분할을 이유로 단체교섭권의 실현의 결과물인 단체협약의 인적ㆍ물적 적용범위를 축소시킬 수 있다는 판단은 문제가 있다. 따라서 회사분할시 단체협약의 승계의 문제에 관하여 분할회사와 신설회사 모두가 기존의 노동조합과의 관계에서 사용자의 지위를 유지하거나 취득한다는 판례법리의 구성이 필요하다고 생각한다.
Abstract
This case is about whether the collective agreement which was signed by the Hyundai Heavy Industries and the Hyundai Heavy Industries’ Labor Union before the division of the Hyundai Heavy Industries to be succeeded to the companies newly established by that division. While the creditor, metal industrial union argues that in the case of division of company, the previous collective agreement should be inherited to the newly established companies, the Seoul District Court ruled that the status of the collective agreement was not transferred thereto if the succession of the collective agreement was not specified in the division plan. The judgment of this case seems to be interpreted as that the comprehensive succession rule in the case of the division of company should not be applied to succession of collective agreement. This paper tries to review the validity of this interpretation and present a new interpretation thereof.
