기업지배구조의 보호막효과와 이익정보의 신뢰성

이익정보 질의 결정요인에 관한 선행연구는 기업특성, 이사회 특성 및 소유구조 등이 이익정보의 신뢰성을 결정짓는 주요 요인인지를 분석하였다. 우리나라 기업 특성 중 매우 인상적인 것은 지배주주의 존재와 이들의 기회주의적 행위를 유발할 수 있는 수준에서 소유권과 지배권에 차이가 존재한다는 것이다. 본 연구는 이러한 기업지배구조 특징을 보호막효과와 이익정보의 신뢰성 검증을 통해 분석하고자 한다. 본 연구는 이익정보의 신뢰성에 대한 기업지배구조의 보호막효과와 관련성이 존재함을 가설로 제시하였다. 본 연구는 보호막효과를 측정하기 위해 기업에 대한 추가적 지분분석을 실시하였다. 즉, 지배주주가 특수관계인, 피라미드지분 및 상호출자지분을 통해 기업을 통제할 수 있는 지분이 얼마인가를 통해 보호막효과를 측정하였다. 본 연구는 연구가설 검증을 위해 2010년부터 2014년까지 1,390개 상장기업에 대한 회귀분석을 실시하였다. 본 연구 결과는 기업지배구조의 보호막효과는 이익정보의 신뢰성에 통계적 유의수준에서 정(+)의 영향을 미치고 있음을 보여주었다. 이러한 결과는 보호막효과가 높을수록 이익정보의 신뢰성이 감소함을 시사한다.
Abstract
Prior literature on determinants of earnings quality, most studies that primarily investigate whether fundamental firm characteristics, board characteristics, and ownership structures etc affects the earnings reliability. The unique feature among Korean firms is the prevalence of ultimate stockholder and the differential right between cashflow right and control right drive owner opportunity behavior. This paper investigates how the entrenchment effects of ultimate stockholder vary with earnings reliability. We explore hypotheses : the entrenchment effects of ultimate stockholder decrease in the reliability of a firm's financial accounting system. The entrenchment effect need to be further identified. Firm-specific information on pyramid structure and cross-holding are used to make the distinction on entrenchment effect. To accomplish this, regression model was conducted using a total of 1,390 firms-years for listed companies on the securities market from 2010 to 2014. We find that the entrenchment effect of ultimate owner have a positive effect on earnings reliability as measured accruals.
