The necessity and effectiveness of the outside director system is still discussed, but its most important requisites are independence and expertise unless the system disappears. However, although independence and expertise need balance, independence has been secured in the way that the requirements for outside directors increased by constantly adding passive constraints to be one, which can deter some candidates with expertise. Therefore, instead of the requirements, the regulation method of “Comply or Explain,” the diversification of board composition, a recommendation committee for outside directors, the strengthened role of the institutional investors and official notice to recruit, and the introduction of post evaluation system. Furthermore, regarding the improvement of the outside directors’ expertise, the introduction of the regulations to prove their expertise, the mitigation of regulation of their disqualifications, the education to improve their quality, the enhancement of information provision, and the invigoration of committee system in the board of directors are necessary. In this way, the outside director system can function more effectively, balancing independence and expertise.
