외국 모기업 지분 전략과 국제합작투자 이사회 기능 및 효과성과의 관계에 관한 연구

해외직접투자 진입방식 중에서 내부화 수단으로서 국제합작투자(International Joint Venture, IJV)의 전략적 선택과 또 다른 중요한 의사결정인 IJV 지분수준 결정은 상호보완적 관점에서 함께 이루어진다. 다국적기업의 IJV 지분수준 결정은 호스트 시장에서 기업특유(firm-specific) 입지우위 요소의 필요성 정도에 따라 결정된다. 하지만 하이브리드 조직인 IJV의 특성으로 인한 독특한 어려 움 때문에 IJV의 성공을 위해서는 사후적 거버넌스 메커니즘으로서의 IJV 이사회 역할이 중요하다. 본 연구의 목적은 외국 모기업 지분수준에 따른 IJV 이사회 기능의 차이와 IJV 이사회 활동-이 사회 효과성 관계에서의 공정성의 매개역할에 주는 영향(moderated mediation)을 분석하는 것이 다. 선진국으로부터 투자받은 국내 제조업 99개 IJV들을 대상으로 한 조사에서 외국 모기업 지분이 증가하면 IJV 이사회에서 통제기능과 조정기능 모두 강화되는 것으로 나타났다. 또한 외국 모기업 지분이 증가하면 IJV 이사회 활동–이사회 효과성 관계에서의 분배 공정성과 절차 공정성 인식에 의 한 매개효과가 증가한다는 것도 발견하였다. 반면 IJV 이사회 활동-이사회 효과성 관계에서의 상 호작용공정성의 매개효과는 외국 모기업 지분 수준차이가 영향을 주지 않았다.
Abstract
The strategic macro decision of choosing International Joint Ventures (‘IJV’) as a FDI entry mode for internalization should be made together with an additional important micro decision: determining the IJV ownership level. IJV ownership level depends on the extent to which the firm-specific advantage is needed. However, given that IJVs have inherent difficulties in management due to the characteristics of a hybrid organization, IJV board’s tasks as an ex post governance mechanism are critical for the success of IJV. The purpose of this study is to analyze the effect of the foreign parent’s equity level on the IJV board tasks and on the mediation role of justice in the relationship between IJV board tasks and board effectiveness. Based on surveys of CEOs of 99 IJVs in manufacturing sector in Korean, we found that when the foreign parent company is the controlling shareholder, the IJV board tasks have been greatly enhanced, especially in the strategic control areas such as long-term strategy formulation and short-term budget approval. In addition, we found that as foreign parent’s ownership in IJVs increases, the mediation effect of both the distributive justice and procedural justice on the relationship between IJV board tasks and the board effectiveness increases. In the meantime, indirect effect of interactional justice on the relationship between IJV board tasks and board effectiveness remains unchanged regardless of the level of foreign parent’s ownership in IJVs.
