기업분할의 목적별 공시효과에 대한 주가반응에 관한 연구

본 연구는 기업분할의 목적에 따라 단기적으로 주가가 어떻게 반응하는지를 시장별로 구분하여 분석한 것이다. 기업분할의 목적은 분석대상 기업의 주주총회 회의록에 근거하여 구조조정, 전문화, 지배구조, 지주회사로 분류하였다. 사건연구를 위한 분석에 사용된 자료는 2000년 1월 1일부터 2012년 9월 30일 사이에 기업분할이 발생한 사례 중에서 유가증권시장(KOSPI)과 코스닥시장(KOSDAQ)에 상장되어 있는 기업을 대상으로 하였다. 실증분석에 대한 결과는 다음과 같다. 첫째, 유가증권시장(KOSPI)에서는 기업분할 목적이 구조조정인 경우에만 CAAR이 양(+)의 추세를 가지는 것으로 나타났고 나머지 전문화, 지주회사, 지배구조인 경우에는 CAAR이 대체로 음(-)의 추세를 보였다. 둘째 코스닥(KOSDAQ)에서는 전문화일 때 CAAR이 양(+)의 추세를 가지는 것으로 나타났고 구조조정에 대해서는 뚜렷하게 음(-) 추세를 보였다. 기업분할이 궁극적으로 사업의 전문화․집약화를 통해 기업의 경영성과 개선을 위한 것이지만 기업분할에 대해 단기적인 주가반응은 분할의 목적과 시장에 따라 서로 다른 결과를 가지는 것으로 나타났다.
Abstract
In this study, we analyze how stock prices react in the short term according to the purpose of corporate divestiture. The purpose of the corporate divestiture is classified as restructuring, specialization, governance, and holding company based on the minutes of the general meeting of the analysts. The data used in the empirical analysis were those companies listed on the KOSPI and KOSDAQ among the cases in which the corporate divestiture occurred between January 1, 2000 and September 30, 2012. The results of the empirical analysis are as follows. First, in the KOSPI market, CAAR has a positive trend only when the purpose of corporate divestiture is restructuring. In the rest of the specialization, holding company, and governance structure, CAAR is negative trends. In the second KOSDAQ, CAAR showed positive trend in the specialization, while it showed a negative trend toward restructuring. Although corporate divestiture are ultimately aimed at enhancing business performance through business specialization and intensification, short-term stock price responses to corporate divestiture are found to have different results depending on the purpose of divestiture and market.
