FIDIC 계약조건에서 국제중재 전 선결절차로서의 분쟁재정위원회(Dispute Adjudication Board)의 효용성 연구
A Study on the Usefulness of Dispute Adjudication Boards in FIDIC Contracts as a Condition Precedent to International Arbitration

초록
FIDIC 계약조건은 국제중재 전 선결절차로서 분쟁재정위원회(Dispute Adjudication Board, “DAB”)를 규정하고 있다. 국제중재는 당사자들 간에 막대한 비용과 상당한 시간을 소모하게 하고 상호 대립구도를 형성하게 할 뿐만 아니라, 분쟁해결 후에도 당사자 간에 심각한 앙금을 남길 수 있기 때문에, 건설계약과 같은 계속적인 법률관계에서 모든 분쟁을 중재 또는 소송에 의해 해결하도록 하는 것보다 다소 비공식적인 중재 전 절차에서 분쟁을 원만하고 우호적으로 해결하는 것이 바람직하다는 인식에서 1995년 Orange Book에서 DAB를 도입하였다. FIDIC의 DAB 절차는 당사자들이 원할 경우 생략할 수 있는 절차가 아니라, 중재로 가기 전에 반드시 거쳐야 하는 중재 전 선결 절차이다. FIDIC DAB 절차는 중재를 줄일 수 있는 유효한 대안적 분쟁해결 수단인지 아니면 추가로 시간과 비용만 소모하는 불필요한 중재 전 절차인지 하는 관점에서 FIDIC DAB에 대해서 살펴본다. 1999년 Red Book에서는 상설 DAB를 규정하고 있는 반면 Yellow/Silver Book에서는 임시 DAB를 규정하고 있는데, 임시 DAB는 계약당사자들로부터 존경과 신뢰를 받는 자가 계약 초기에 임명되어 현장을 정기적으로 방문하여 공사 진척도와 잠재적인 문제점을 파악해 나가면서, 분쟁이 발생하면 초기 단계에서 관여하여 양 당사자에게 만족스러운 분쟁 해결책을 제시하여 가급적 적대적이고 시간과 비용소모적인 중재 또는 소송을 줄인다는 취지를 제대로 살리지 못한다는 비판을 수용하여 2017년 FIDIC 계약조건은 Red/Yellow/Silver Book 다 상설 DAB를 기본 원칙으로 채택하였다. 뿐만 아니라 2017년 계약조건에는 분쟁방지 기능을 강화하였으며, 그 명칭도 분쟁방지재정위원회(Dispute Avoidance Adjudication Board, “DAAB”)로 변경하였다. 한편, 1999년 FIDIC 계약조건 제20.7조는 당사자 쌍방이 제20.4조의 DAB의 결정에 대해 28일 내에 불복의 통지를 하지 않아 최종적이고 구속력이 있게 된 DAB의 결정은 제20.4조[DAB의 결정의 획득] 및 제20.5조[우호적인 화해]를 거치지 않고 바로 중재에 회부할 수 있도록 규정하고 있으므로, 당사자 일방이 불복의 통지를 해서 구속력은 있지만 최종적이지 않은 DAB의 결정에 대해서는 제20.7조에 의해 중재신청을 할 수는 없다는 문제점이 있었는데, 2017년 FIDIC 계약조건은 일방 당사자가 DAAB의 결정이 구속력만 있거나, 최종적이고 구속력이 있거나 간에 그 결정에 따르지 않을 경우, 상대방 당사자는 DAAB 절차 및 우호적 화해 절차를 거치지 않고 이를 바로 중재에 회부할 수 있다고 규정함으로써, 1999년 FIDIC 계약조건 제20.7조의 흠결을 해결하고 있다. 하지만 2017년 FIDIC 계약조건이 1999년 DAB 제도 상의 흠결을 상당히 개선시켰음에도 불구하고, 영국을 비롯한 영연방 국가들에서 시행되고 있는 법적 재정제도와의 중복 문제, DAAB 결정의 이행을 명하는 중간판정의 집행 문제 및 DAAB 회부에 의해 시효가 중단되는지 등에 대해서는 아직도 법률적으로 해결되지 않은 문제점들이 남아 있다. 이러한 문제점들에도 불구하고 FIDIC DAAB 제도는 계약 당사자들이 어떻게 운용하는지에 따라 그 성패 여부가 달려 있을 것이다.
Abstract
FIDIC Contract Conditions provide for Dispute Adjudication Board (“DAB”) as a mandatory prerequisite to international arbitration. However, the international arbitration proceedings often not only require the substantial amount of cost and time from the parties but also lead to the confrontation between the parties. In addition, even after the resolution of the dispute, the parties may be left with hard feelings against the other party. Under these circumstances, the DAB system was introduced by the Orange Book in 1995 based on the prevailing understanding that, in respect of a continuing legal relationship arising from, for example, construction contract, it would be highly desirable to settle the dispute in an amicable manner through somewhat unofficial pre-arbitration procedure rather than to settle all the disputes by either arbitration or litigation. The DAB procedures under the FIDIC-based contracts are a mandatory pre-condition to the initiation of arbitral proceedings as opposed to the procedures which may be skipped by the parties’ wish. In this paper, I will focus on the DAB procedures under the FIDIC contract from the perspective as to whether FIDIC DAB would serve to be an effective alternative dispute resolution scheme to avoid the need for arbitration or unnecessary prerequisite to arbitration, which requires the additional time and cost. 1999 Red Book provides for a permanent DAB, whereas Yellow and Silver Books anticipate the use of an ‘ad hoc’ DAB. In case of an ad hoc DAB, a person who gains respect and trust from the parties to the contract is appointed at the initial stage of contract, pays regular visit to the site to identify and discuss any potential issues which might lead to disputes, and gets involved in the dispute at its inchoate stage to make recommendations for the dispute resolution which are acceptable to both parties. This ad hoc DAB was intended to avoid the need for arbitration or litigation, which is often found to be time and cost consuming. However, when this ad hoc DAB procedure encountered the criticism that such purpose was not properly served, the 2017 FIDIC Contract Conditions adopted a permanent DAB system as a basic principle in all Red, Yellow and Silver Books. Besides, in 2017 FIDIC Contract Conditions, DAB’s function of preventing and avoiding disputes was reinforced, while its title was changed to be the Dispute Avoidance Adjudication Board (“DAAB”) from the Dispute Adjudication Board. In the meantime, the 1999 FIDIC Contract Conditions provide in its Sub-Clause 20.7 that any decision made by the DAB pursuant to the Sub-Clause 20.4, which has become final and binding as a result of either party’s failure to give notice of dissatisfaction within 28 days, may be referred directly to arbitration without regard to Sub-Clause 20.4 [Obtaining Dispute Adjudication Board’s Decision] and Sub-Clause 20.5 [Amicable Settlement]. However, there was a shortcoming that either party would not be entitled to file a request for arbitration pursuant to the Sub-Clause 20.7 in respect of the DAB’s decisions which have become binding but not final as a result of either party’s giving notice of dissatisfaction. In this regard, 2017 FIDIC Contract Conditions rectified such shortcoming found in the Sub-Clause 20.7 of the 1999 FIDIC Contract Conditions by providing that, in the event that a party fails to comply with any decision of the DAAB, whether binding or final and binding, then the other party may refer the failure itself directly to arbitration without regard to the DAAB and amicable settlement procedures. However, although the 2017 FIDIC Contract Conditions overcame, to a significant extent, the shortcoming of the DAB system in 1997 FIDIC Contract Conditions, it still has various legal issues to be resolved in terms of its overlapping with the legal adjudication system being implemented in the Commonwealth countries like England, the enforcement of interim award ordering the compliance with the DAAB’s decisions, and the suspension of the statute of limitation resulting from the referral of a dispute to the DAAB. Nonetheless, however, the success or failure of DAAB system under the FIDIC Contract Conditions will rest largely on how the parties would be able to use such DAAB system.
