초록
국제물품매매계약에 적용되는 가장 대표적인 협약 또는 규칙으로는 인코텀즈(Incoterms) 와 국제물품매매계약에 관한 유엔협약(CISG)이 있다. CISG는, 영업소가 서로 다른 국가에있는 당사자간의 물품매매계약에서 해당 국가가 모두 체약국인 경우, 또는 국제사법에 따라 체약국법이 적용되는 경우에 적용된다. CISG는 체약국에서는 국내법과 동일한 효력이 인정되기 때문에 협약의 적용요건이 충족되는 국제물품매매에서는 CISG의 적용에 대하여 당사자간 합의가 없는 경우에도 CISG가적용된다. 다만, CISG는 강행법규가 아니므로 당사자가 CISG의 적용을 원하지 않는 경우에는 당사자간 합의로 CISG의 적용을 배제하거나 일부의 내용을 변경하여 적용할 수 있다. 2018. 6월 현재 CISG의 체약국은 89개국이고, 이들 국가의 수출은 전체의 80% 이상을차지하고 있으며, 수출 규모 20위권 국가 중에서 영국, 홍콩, 대만, U.A.E., 인도, 그리고 태국을 제외하고는 모두 체약국이다. 그러나 대부분의 글로벌 판매자들(global venders)은CISG의 적용을 배제하고 있으며, CISG의 존재나 내용을 모르는 중소무역상들의 거래에서적용되는 경우가 많다. CISG가 외면당하는 이유는 다양한데, 급변하는 무역 관행을 반영하지 못하고 있다는 점도 그 중 하나가 된다. Incoterms 2010이 비교적 무역 관행에 부합한다는 전제하에 CISG에서 물품의 인도, 위험의 이전, 그리고 인도의 수령 규정에는 일부 문제 내지는 흠결이 있다.
Abstract
The Incoterms and the CISG are the most widely applied international rules in international sale of goods. The CISG applies to contracts of sale of goods between parties whose places of business are in different States (ⅰ) when the States are Contracting States, or (ⅱ) when the contracts are governed by the law of a Contracting State. The CISG shall apply to international sale of goods in case the conditions for its application is met without the parties’ agreement on the application of the CISG. Meanwhile, the parties may exclude the application of the CISG, or vary the effect of any provision of the CISG. As of June 2018, 89 states are the parties to the CISG, and their total volume of international trade exceeds 80% of world international trade. Only United Kingdom and Hong Kong among top 10 trade countries do not join the CISG. However, most global venders have excluded the application of the CISG on purpose, and therefore the CISG has been applied between SMEs traders who do not know the CISG. There are various reasons for the exclusion of the CISG, and one of them is the fact that it does not reflects the rapidly changing international trade usage and/or practice. Supposing the Incoterms 2010 is in accordance with the international trade usage and/or practice, the CISG’s provisions on delivery of goods, risk transfer, and taking delivery has some problems or defects.
