상법상 경영자기업매수(MBO)의 법적 문제점－ 강압(coercion)을 중심으로 －

경영자기업매수(Management Buyouts, 이하 MBO)란 회사를 경영하는 자가 회사의 계속을 전제로 자기나 제3자의 자금으로 다른 주주로부터 그 회사의 주식을 전부 또는 일부 매수하는 일련의 거래행위를 말한다. MBO에서의 “강압”이란 경영자가 주주에 대하여 주식을 매수하는 과정에서 주식을 매도하는 소수주주가 그 의사에 반하여 청약에 응하거나 주식가치를 오인하여 불공정한 가액으로 공개매수에 응하는 위험을 말한다. 미국 판례는 전자를 “구조적 강압”(structural coercion), 후자를 “실질적 강압”(substantive coercion)으로 구분한다. 강압의 원인은 MBO가 실행되는 과정에서 경영자가 소수주주보다 우월한 지위에서 회사정보에 접근하므로 “정보의 비대칭”(asymmetry of informations)이 있게 되고 주식매수인의 지위를 가짐과 동시에 매도자인 소수주주의 이익을 대표하여야 할 지위를 겸하게 되어 이익충돌(conflict of interests)이 존재하기 때문이다. MBO의 실행을 위한 일련의 과정에서 소수주주의 강압을 배제하기 위해서는 동일한 거래조건의 보장, 주주의 이익을 보호할 이사의 의무, 거래정보의 개시, 공정한 매수가격의 산정, 이사회 내 특별위원회의 설치 등이 필요하다.
Abstract
Management Buyouts(hereafter MBO) means a series of a transaction for stock purchasing by a Management who already run a Corporation by himself or through a paper company set up by him or with another third party. Coercions in MBO occur when a minority shareholder sell his stock to Management against his will because he feels that he will have a unfavorable position in which he have to sell his stock under more adverse terms in future and also in some situation when a minority shareholder misunderstands the correct stock value because false representation disclosed by Management misleads his judgement. In USA the former is called by “Structural Coercion” and the later is by “Substantive Coercion”. The causes of Coercion can be found in “Asymmetry of Informations” and “Conflict of Interests” between minority share holders and Management. To remove the coercion in MBO transaction many conditions are required as follows: assure of same value for stock selling, director’s duty to protect shareholder’s interest, disclosure of transaction information, fair price for stock selling, establishment of special committee in board.
