After IMF economic crisis, There have been many efforts to improve the corporate governance of listed companies in Korea. For example, Korean law adopted mandatory outside directors system and mandatory audit committee system in big listed companies. But the international community have still negatively evaluates corporate governance of listed companies in Korea. Although corporate governance of listed companies is changing to meet global standards in appearance, but the operation status of corporate governance is still not to meet with global standards. So, the KRX introduced ‘Corporate Governance Disclosure System’ to improve the status of corporate governance of listed companies. But such a system failed because more than 90% of listed companies avoided ‘Corporate Governance Disclosure.’ Therefore, listed companies should be required to disclose their corporate governance. Doing so will comply with ‘Corporate Governance Code(or ‘Principles of Corporate Governance’),’ which will lead to improvements in corporate governance. If corporate governance of listed companies in Korea is actually improved, it will be easier to attract investment from international capital market and greatly help strengthen listed companies competitiveness.
