日本におけるコーポレートガバナンスに 關する最近の動向
Recent Movement about Corporate Governance in Japan

초록
これまで、日本では、不祥事を防止するために、會社法の改正がなされてきた。 しかし、近年は、企業の收益性および生産性を高めるためのコーポレートガバナン スの仕組みが注目されている。その一環として、2015年、東京証券取引所は 「コーポ レートガバナンス⋅コード」(CGコード)を策定した。同コードは、2018年6月に改訂 されている。さらに、日本では、會社法改正の動きがある。すなわち、2018年2月に 法務省の法制審議會(會社法制部會)が、ガバナンスを强化するために會社法を直すた めの 「中間試案」を公表した。本稿では、これらの內容について槪要を紹介する。 取締役への適切なインセンティブを与えるための法制度として、法制審議會は、 株式報酬ならびに取締役の民事責任に關する會社補償制度およびD&O保險の導入を 檢討している(第２章)。また、取締役會制度の改革に關して、取締役會の權限を大幅 に代表取締役に委任すること、社外取締役を强制することが議論されている(第３ 章)。さらに、日本では、CEOなどの最高責任者の選任⋅解任の手續きが明確でない こと、法律上存在しない 「顧問⋅相談役」が事實上、會社を支配するといった問題が ある(第４章)。
Abstract
In Japan, the Company Act has been amended to prevent corporate misconduct so far. But recently, the scheme of the corporate governance attracts attention to increase the earnings and the productivity of the company. As part of this effort, Tokyo Stock Exchange formulated “Code of Corporate Governance” in 2015. TSE revised this Code in 2018. Moreover the Company Act will be amended near future. In other words, Legislative Council of the Ministry of Justice has published “interim proposal” for the amendment of the Company Act. which measures to strengthen governance. I will introduce these movement in this paper. As the system to vest adequate incentive to the corporate directors, Legislative Council examine to introduce stock remuneration to the directors, and corporate compensation and D&O insurance for civil liability of the directors(chapter 2). As for the reform of the board(of the directors), delegating their authorities to the representative director and compelling the outside director are considering(chapter 3). In Japan, the procedure to select or remove CEO remains undefined and “adviser or consultant”,which is not the position of the legal system, exercise influence to the corporate management de facto in fact(chapter 4).
