민간투자사업 실시협약 해지와 공익처분의 관계

이 글은 민간투자사업 실시협약의 해지와 공익처분의 관계에 관한 글이다. 현재 민간투자사업의 사업자지정은 실시협약 체결로 이루어진다는 민간투자법 제13조 제3항에 근거하여 실시협약 체결을 사업자지정이라는 행정처분의 성격을 병유하는 것으로 보는 견해가 다수인 것으로 보이는 반면, 그 반대로 관계를 해소(unwind)하는 국면에서는 양자가 전혀 별개라고 보는 시각이 주를 이루고 있다. 그러나 이는 비대칭적 파악으로 체계적 일관성이 결여되었으며 실질적인 면에서도 타당하다고 보기 어렵다. 양자를 일체관계로 볼 것이냐 전혀 별개의 관계로 볼 것이냐는 근본적으로 실시협약을 법으로부터 위임의 연쇄를 따라 법에서 존재의 의의와 사명을 부여받은 법집행을 위한 계약이라고 볼 것이냐(일체설), 아니면 공법상 계약 자유의 원칙에 입각하여 전혀 별개의 제도라고 볼 것이냐(별개설)는 시각차이에 연유한다. 후자의 관점 그리고 그에 기반하고 있다고 생각되는 별개설은 실시협약이 근본적으로 왜 존재하는지, 법률과 시행령에서 규정하고 있는 실시협약에 대한 그 수많은 위임 조항들의 존재와 의미를 지나치게 경시한 논리이다. 일체설과 별개설의 대립적인 관점은 실무상 민간투자사업 종료와 관련한 거의 모든 쟁점을 관통하는 핵심 쟁점임에도 이에 관한 쟁점의 인지조차 이루어지지 못하고 있다. 이 문제를 쟁점으로 인식하고 일체설의 관점에서 관련 쟁점들을 체계적으로 풀어나갈 필요가 있다.
Abstract
This article deals with the relationship between (1)the termination of the private finance initiative(PFI) or public-private partnership(PPP) project concession agreement and (2)the termination by the administrative action for public interest. It is a generally view that entering into the PFI concession agreement is itself a administrative action for giving the concession right for the project based on Article 13 (3) of the Private Investment Act. However, on the contrary, when terminating the PFI, it appears that a general view is that the termination based on the concession agreement and the terminating administrative action are totally distinct. However, this asymmetric view lacks systematic consistency, and is not feasible. Whether the two should be regarded as a whole or a totally different relationship depends on how to view the concession agreement under the PFI Law. It will be the correct understanding that through the chain of delegation, the concession agreement is created as a tool for the PFI Law enforcement.
