주주총회 활성화를 위한 발전방안 연구-주주총회 전자화를 중심으로-

This paper suggests a plan to expand the electronicization of shareholders meetings to come up with measures to vitalize the shareholders meeting after abolishment of the shadow voting system. First, we check the current status of the shareholders meeting in korea and examine the necessity of activating the electronicization of shareholders meeting by changing the environment of the capital market. Next, we review the current status of the electronic shareholders meeting in the US and Japan and present direction for the shareholders meeting in Korea. The current state of use of electronic voting and electronic proxy solicitation is reviewed. In addition, I propose that the electronic voting system is mandatory and the electronic plan for the shareholders meeting is presented. Furthermore, it will consider the introduction of the electronic shareholders meeting. At the time of the abolishment of the shadow voting system, electronic voting system, electronic proxy solicitation system and electronic shareholder meeting system should be a activity utilized for shareholders meeting and shareholders voting right. Thus, we be able to realize the activation and substantialization of shareholders meeting pursued by commercial law and corporation.
