The recent situation of Asiana Airlines and the insolvency of the Kumho AsianaGroup were a disaster resulting from the dictatorship and domination of thecontrolling shareholders, which neglected corporate social responsibility. KumhoAsiana Group acquired Daewoo Construction Co. and Korea Express at once, andcaused the company to suffer insolvency. In such a process, it was difficult to findthe power within the company to stop or genuinely advise against it due to thecorporate structure that enables the dictatorship of the controlling shareholder. Theanalysis of the Asiana Airlines situation reveals that corporate social responsibility,which calls for democratization of corporate governance or fair consideration ofcorporate stakeholders, increases corporate competitiveness and efficiency as a resultdespite a number of opposition theories. In this premise, we propose measures to realize corporate democratization andcorporate social responsibility. It is necessary to make efforts to establish ademocratic corporate governance system including the outside directors system. Inorder for the outside directors system to be effective for the control of controllingshareholders, it is necessary for the government to enforce a cumulative votingsystem, to separate and select audit committee members, to enforce electronic voting,to introduce labor director. Democracy can not be the exclusive property of thepolitical realm. Democracy in the economy and the enterprise sector must also berealized. In addition, it is necessary to actively develop cooperation models betweenlarge companies and small or middle companies, such as automobile joint venturecompany, which are currently trying to establish commonly with Gwangju City,Hyundai Motors and local partners. It is also necessary to establish general rules on corporate social responsibility inCommercial Law. The introduction of general rules on corporate social responsibilitycan bring about a breakthrough in the concept of a company. The purpose of theenterprise is to create new goods and services for social development, and profit isthe price for creation for such human development. Companies that have succeededin creating for the development of mankind can survive, but companies that are stuckin conventional products and services are left out of the reality of the enterprise. If afirm does not make a distribution that corresponds to its contribution to thefulfillment of its purpose, then it will be in opposition to justice and truth.
