본 연구에서는 가족기업의 M&A와 기업가치 간의 관계를 가족CEO의 역할을 중심으로살펴보고 있다. 가족기업은 창업주의 가족이 영향력을 미치고 있는 기업형태인데, 가족기업의 M&A 전략에 대한 연구는 단순히 비가족기업과의 비교에서 그치고 사회 정서적가치 관점(Socioemotional wealth perspective)에서 살펴보지 못한 한계점이 있다. 이에 따라 본 연구에서는 가족기업 내의 중요한 차이점인 최고경영자에 따라 시장에서내리는 M&A에 대한 평가가 달라지는지를 살펴보고자 한다. 구체적으로, 가족CEO가있는 경우에 해당 가족기업이 M&A를 하면 시장에서의 평가가 전문경영인이 있을 때보다더 긍정적이라고 주장한다. 또한, CEO의 임기가 길수록 이러한 긍정적인 관계는 강화되지만 기업규모가 클수록 약화된다. 1998년도에서 2015년도 사이에 국내에 상장된 가족기업이 인수기업으로 참여한 962건의 인수합병(M&A)을 대상으로 분석한 결과에 따르면모든 연구가설은 지지되었다. 가족CEO는 사회 정서적 가치(SEW)를 중시하는 만큼 시장에서는 이들이 선별적으로 M&A를 추진한다는 인식이 있다는 시사점을 제공하는 한편, 이러한 경향은 최고경영자의 영향력을 결정짓는 다양한 요소(최고경영자의 임기, 기업규모)에 따라 달라진다는 점을 보여주며 가족기업의 M&A 연구에 기여점을 제공한다.
Abstract
This paper explores the role of family CEOs in the relationship between family firm M&As and firm value. Previous studies in family firm M&As are limited because most focus on a simple comparison with nonfamily firms and fails to incorporate the socioemotional wealth perspective. To fill the existing gaps in the literature, this paper studies whether the market reaction to family firm M&As varies depending on the type of CEOs. Based on a sample of 962 M&As by family firms listed in the Korean Stock Exchange between 1998 and 2015, it is found that the market reacts more positively to M&As by family firms with family CEOs compared to their counterparts with professional CEOs. Furthermore, the positive relationship strengthens as CEO tenure increases and weakens as firm size increases. By finding evidence that the market perceives family CEOs’ prioritization of socioemotional wealth to lead to a selection of value-adding M&As, the study contributes to the literature on family firm M&As.
